Revolution Medicines is a clinical-stage oncology company developing novel targeted therapies for RAS-addicted cancers. The company’s R&D pipeline comprises RAS(ON) inhibitors designed to suppress diverse oncogenic variants of RAS proteins, and RAS companion inhibitors for use in combination treatment strategies.
RevMed is seeking an experienced attorney to serve as the Company’s Associate General Counsel, Corporate. Reporting to the General Counsel, this attorney will lead corporate and securities legal work, including assisting with corporate governance and Board matters. A highly motivated and collaborative individual, the Associate General Counsel, Corporate will work closely with the legal team and stakeholders across the organization, as well as manage outside counsel and budgets.
Location : Redwood City, CA. This is a hybrid role that requires 3-4 days in the office.
Compensation : Competitive and commensurate with experience : base salary of $289,000 to $333,000, bonus, and equity will be offered for this position.
Key Responsibilities
- Serve as legal lead for all securities work, including SEC disclosures and filings (e.g. 10-Ks, 10-Qs, 8-Ks, proxy statement and Section 16 filings)
- Oversee and provide guidance on corporate governance, including assistance with Board, Committee and stockholder meetings and actions
- Advise on quarterly earnings reporting, providing input on all materials and coordinating with finance and IR teams to manage calendar and process
- Lead legal efforts for potential financing transactions
- Advise on compliance with corporate laws and regulations (including SEC and Nasdaq rules) and corporate policies
- Manage insider trading compliance, including reviewing and advising on 10b5-1 plans
- Maintain a strong working knowledge of applicable laws, regulations, and trends to identify and manage emerging risks and opportunities
- Manage corporate subsidiaries
- Train the organization on corporate issues
- Manage outside counsel and other legal vendors and associated budgets to achieve timely and cost-effective work
