We are offering an exciting opportunity for an Attorney / Lawyer in BALTIMORE, Maryland. In this role, you will be dealing with corporate transactional matters, focusing on entity structure and organization, along with issues regarding tax-exempt entities. This role requires you to work both independently and collaboratively with other internal and external counsel on complex transactions.
Responsibilities :
- Independently handle M& A transactions
- Draft and negotiate entity formation documents and operating agreements
- Work on business transactions and entity documentation
- Structure transactions considering all legal aspects
- Review, draft, and negotiate partnership agreements and other joint venture agreements
- Exhibit strong attention to detail while working on multiple matters
- Demonstrate excellent drafting and organizational skills
- Negotiate effectively and assertively for our clients
- Maintain a congenial relationship with opposing counsel, colleagues, and clients.
- Possess a Juris Doctorate (JD) degree from an accredited law school
- Be licensed to practice law
- Have a minimum of three years of experience as an Attorney or Lawyer
- Display expertise in Corporate Transactions
- Exhibit proficiency in drafting and reviewing Operating Agreements
- Demonstrate strong skills in Contract Negotiation
- Be capable of managing multiple clients and cases simultaneously
- Show excellent communication and interpersonal skills
- Possess high ethical standards and professionalism
- Be able to work independently and as part of a team
- Have strong analytical and problem-solving abilities
- Show a commitment to ongoing legal education and staying updated with law changes.
