We are offering an exciting opportunity for a Paralegal in the Financial Services industry, situated in Emeryville, California. The successful candidate will play a critical role in our team, focusing on supporting corporate governance, SEC filings, and maintaining company records. Responsibilities:• Support the preparation and filing of SEC regulatory filings, including forms such as 10-Ks, 10-Qs, 8-Ks, and proxy statements.• Assist attorneys in maintaining corporate good standing and governance of entities.• Conduct legal research as needed and assist in responding to internal and external auditor requests.• Participate in government relations activities and monitor developments in industry regulatory working groups.• Assist in maintaining corporate governance, including preparation of board meeting minutes, agendas, and other meeting materials.• Support the preparation of Insurance Holding Company Act regulatory filings and other state insurance regulatory filings.• Monitor ongoing compliance with NASDAQ listing requirements.• Assist in the preparation of due diligence documents and responses for corporate transactions.• Monitor and report on new, or changes to existing, Federal and state laws and regulations that may impact the company or its business activities.• Support attorneys in the administration of the company’s equity incentive plans.
Salary : $115,000 - $150,000
