Position Overview
We are seeking a highly skilled and adaptable Startup Lawyer to support the legal needs of our fast-paced and innovative environment. This role requires expertise in a broad range of legal areas, including intellectual property, trade secrets, corporate financing, labor law, and contractual negotiations. As our Startup Lawyer, you will play a key role in ensuring RoBuildX operates within legal and regulatory frameworks while safeguarding its intellectual and operational assets.
Key Responsibilities
1. Intellectual Property (IP) and Trade Secrets
o Manage the development, filing, and protection of patents, trademarks, and copyrights.
o Develop and enforce protocols to maintain the company’s trade secret system.
o Advise on strategies to protect proprietary technology and data.
2. Corporate Financing and Governance
o Support fundraising efforts, including venture capital (VC) due diligence, term sheets, and equity agreements.
o Structure legal frameworks for financing through REITs and private equity funds.
o Draft, review, and negotiate shareholder agreements, bylaws, and other governance documents.
3. Contracts and Agreements
o Draft and negotiate labor contracts, outsourcing agreements, and construction contracts.
o Develop standardized templates for agreements with contractors, vendors, and strategic partners.
o Ensure compliance with local and international laws governing contracts.
4. Day-to-Day Legal Operations
o Provide counsel on employment law and HR policies, including onboarding, labor disputes, and terminations.
o Advise on risk management and liability issues in the construction and technology sectors.
o Oversee compliance with industry regulations and corporate legal obligations.
5. Strategic Advisory
o Advise leadership on legal implications of business strategies and operational decisions.
o Collaborate with external counsel as needed for specialized legal matters.
o Stay current on legal trends and changes impacting the robotics, construction, and real estate sectors.
Qualifications
o Education: J.D. from an accredited law school
o Minimum 5–7 years of legal experience, including startup, corporate, or intellectual property law.
o Experience with VC financing, IP filings, and trade secret protection is highly preferred.
o Familiarity with real estate and construction law is a strong advantage.
· Skills:
o Exceptional drafting, negotiation, and communication skills.
o Strong analytical and problem-solving abilities.
o Ability to work independently in a dynamic, high-pressure startup environment.
Nice to have: Active bar membership in at least one U.S. jurisdiction.
