CORPORATE DEVELOPMENT – SENIOR ASSOCIATE
Location: Remote – Washington, DC based/ Travel required 20% of time
Length: 4 – 6 Months, with opportunity for full-time hire
Type: Full Time
Expectations: 35-50 hours week
Role Overview
As a Corporate Development Senior Associate, you will be responsible for supporting various initiatives through the financial analysis, due diligence support, market research on specific sector trends and analysis. You will also be responsible for attending client meetings, reviewing, and monitoring data rooms, and financial analysis/reports/deliverables.
Primary Responsibilities
- Build excel models, both from a bottoms-up as well as taking over existing excel templates, based on specific inputs from corporate development team and client
- Develop pro forma financial models, including:
- financial statements (P&L, B/S, and SOCF), revenue models,
- ROI and IRR analysis, DCF forecasts, and other key metrics
- Develop and maintain investment models, including:
- Cap Tables for shareholders
- Pre-money and post-money dilution analysis
- Investment waterfall analysis and exit scenarios
- Support legal and organizational work for different investment subsidiaries
- Build and manage document repositories/data rooms and document control, including compartmentalizing information
- Perform market research via Pitchbook.com, and using such analysis to determine revenue growth for pro forma models, and return potential for exit analysis
- Assist in writing due diligence/feasibility study reports, including qualitative analysis
- Perform initial of legal documents, including term sheets, banking and fundraising documents, and subscription/purchase agreements; interact with both Newport and Client legal counsel and other advisors
- Organize and lead weekly status meetings with Newport and Client’s team members
- Interact extensively with the Client’s leadership, Board of Directors, and potential third-party stakeholders; build and manage the relationships.
Requirements
- Self-starter and an ability to independently manage, proactively communicate, and ensure deliverable timetables are followed and met
- Strong communication skills, written and verbal, with the ability to clearly communicate issues to all levels of management
- Flexibility and capacity to attend virtual client meetings, depending on time zone
- Demonstrated confidence during meetings, communicate effectively and problem solver
- Strong understanding of accounting and finance, including financial statements, pro formas, cash flow forecasts, trial balances and reconciling to subledgers
- Intermediate-Advanced level of excels (SumIFs, V/HLookU, Index/Match, NPVs, PowerPivot, PowerQuery; )
- Ability to develop PowerPoint presentations and deliverables to be distributed/ prior investment memorandums or QofE experience preferred
- Strong
- Understanding of venture capital, family office, or private equity investment operations
- Prior Big Four M&A experience, strategic consulting, PE/VC or family office experience
- CPA or MBA a plus, but not required.
