What are the responsibilities and job description for the Manager, M&A Group position at Scout Clean Energy?
The Manager of M&A plays an important role in our efforts to originate, evaluate, negotiate, and close acquisitions and divestitures of utility-scale wind, solar, and storage projects. Your ability to evaluate prospective development teams and projects on a quantitative and qualitative basis will be the mark of success in this role. Your deep understanding of renewable power markets and your ability to drive data-based decisions through advanced financial modeling will be essential skills and qualities you bring to the team. You will be responsible for project-based financial modeling and the preparation of investment committee materials to assist investment decisions. You will be expected to analyze the internal and external business environment of a potential project and support crafting a compelling strategy for Scout to convert the opportunity into an operational asset.
In addition to financial analysis, you are knowledgeable about topics ranging from energy markets, project engineering, construction, development, to key legal issues that impact the investment analysis of a particular project.
While the bulk of your work will focus on project-level deals, you will also analyze development platforms. Your analysis will propel you toward success during deal negotiation and close:
- Support the development and negotiation of term sheets as you hone your understanding of the commercial points that drive acquisition agreements.
- Integrate the feedback of Scout team members into your project approach to achieve superior results.
- Implement long-term company strategy and initiatives related to wind and solar development.
Your understanding of market and industry fundamentals will enable you to support our project identification and negotiation efforts:
- Mine ISO/RTO queues for potential targets.
- Research other changes in the markets to identify areas with high potential opportunities.
- Prepare proposals, presentations, and board papers as directed.
You will join the M&A team, reporting directly to the Senior Director of M&A. You will collaborate extensively with team members across the company as Scout continues to grow through both organic and strategic acquisition opportunities to bring high quality wind and solar projects into our pipeline for development. Responsibilities include:
- Play a leading role in the analysis of potential project acquisitions with a focus on economic risk and strategic options.
- Support M&A strategy development, refinement, and research for the Scout team, generation actionable insights on possible M&A projects and future renewable energy trends.
- Apply creative problem solving and analytical skills to identify and communicate actionable insights.
- Manage and own the evaluation of financial models.
- Train junior team members in financial modeling and oversee the team’s modeling work.
Qualifications
- A Bachelor’s degree in Finance, Business, Economics or quantitative field
- 5 year of experience in finance, mergers & acquisitions, or other relevant professional experience
- 2 years of experience in solar and wind development and/or late-stage project acquisition modeling renewable energy project economics
- Ability to apply knowledge of the specifics of wind and solar project finance with respect to tax equity and debt structures and equity returns. Experience with sell-side due diligence processes for renewable energy or project finance transactions
- Experience working with cross-functional internal and external technical advisors and stakeholders.
- Understanding of the full cycle of utility-scale wind and solar power generation development and marketing, U.S. power markets, various transmission systems, and the economic drivers for renewable energy projects.

- Proficiency with Microsoft Office, Excel, and Word
- Strong financial modelling skills including ability to review/audit models, understanding of tax equity structures is a plus
- Strong verbal, written, and visual communication skills.
- Ability to concisely frame issues by providing context, analysis, recommendations and risk/benefit tradeoffs, both in written, verbal, and presentation format, to project teams and to senior management.
- Willing and available to travel significantly as needed (10% ).

Target base salary: $130,000– $145,000 (Negotiable for the right candidate.)
