Corporate Mid-Level Associate (Chicago)

Sheppard, Mullin , Richter & Hampton LLP, a global Am Law 50 firm, is seeking a corporate mid-level associate with 4-7 years of private equity, mergers and acquisitions, venture capital, debt finance and general corporate experience to join its Chicago office.

One of Sheppard Mullin's core strengths, our Corporate practice, assists clients throughout the U.S. and abroad in maximizing their business opportunities. We represent private equity and venture capital funds, public and private companies, ranging from family-owned businesses to multi-national corporations to start-up companies, and bank and non-bank lenders, in connection with such matters as venture, growth and other financings, mergers and acquisitions, leveraged buyouts and recapitalizations, fund formation, SEC compliance, capital markets transactions, corporate, LLC and partnership formation, and corporate partnering, joint venture, and other strategic alliance arrangements.

Associates are routinely required to:

• Draft transaction agreements and documents with efficiency and clarity;
• Negotiate deal terms alongside clients and supervising attorneys;
• Manage transaction closings and processes;
• Provide thorough factual and legal research and analysis;
• Competently and professionally communicate with clients and supervising attorneys; and
• Work with and oversee more junior team members.

The ideal candidate will have the following knowledge, skills, abilities, and qualifications:

• Creativity and flexibility to handle numerous types and structures of transactions;
• Ability to communicate effectively orally and in writing;
• Ability to work effectively under pressure and to meet deadlines;
• Ability to work professionally and effectively with Clients, Partners, Associate and Support Staff, and with others as part of a team;
• Exceptional organization and project management skills;
• A desire to grow the practice and engage with the Chicago business community;

• Experience with private equity transactions is preferred;
• Candidate must be able to provide effective and reliable legal services to clients and supervising attorneys;
• Excellent academic credentials; and
• Must be admitted to the Illinois State Bar or preparing to obtain admission through reciprocity with another state.
