The Deputy General Counsel, Institutional Group, will be focused on providing transactional, lending, credit, and general legal advice to Stifel’s Institutional Group, including Keefe, Bruyette & Woods (KBW). The successful candidate will be a trusted support and counsel to the Institutional Group with direct responsibility to investment bankers, sales and trading professionals, and senior management, along with colleagues in the Legal Department and in the firm’s Compliance, Operations and other support groups. The ideal candidate will be based in New York or St. Louis.
What We're Looking For:- Analyze, draft and negotiate a wide range of agreements, including investment banking engagement letters, fairness opinions and syndicated and other loan documentation.
- Advise on a wide range of investment banking activities, including M&A, public and private financing, leveraged lending, loan trading and other secured credit activities.
- Participate in the integration of new businesses and products arising from acquisitions.
- Learn and advise on new areas of law as institutional products and services expand.
- Supervise external counsel.
- Demonstrated capacity to add value through superior legal advice in a financial services context, including by counseling and generating good ideas for better structuring, risk mitigation, fee realization and effective provision of banking services.
- Growing practical knowledge of and experience providing advice regarding laws, rules and regulations relating to secured and unsecured lending, broker-dealers, and institutional financial services.
- Familiarity with Securities Act of 1933 and Securities Exchange Act of 1934 and the Investment Advisors Act of 1940.
- Superb written and spoken communication, research and strategic thinking abilities, and delivery of effective, collaborative counsel to a range of investment banking professionals.
- Ability to work independently and quickly.
- Intellectual acumen that delivers accurate analysis of complex situations and correct, helpful advice.
- Ready to work hard, keep organized, and be accountable for results.
- Eager to grow in skills and be part of a thriving institutional business that ranges from mid-market lending, to the largest financial services banking transactions, to fast-paced acquisitions.
- Minimum Required: Bachelor's and JD degree, in good standing with a US state bar.
- Minimum Required: 4 years' if relevant experience at a law firm or in-house legal department.
- Proficient in Microsoft Excel, Word, PowerPoint, Outlook
