Position Overview
The firm is seeking a skilled Corporate Associate with 4 years of experience to join its Emerging Companies and Venture Capital (ECVC) practice. This role offers the opportunity to work on cutting-edge transactions and support innovative clients at all stages of growth, from emerging startups to well-established venture-backed enterprises. The position is available in the firm’s New York and Boston offices.
Key Responsibilities
- Drafting and Negotiation : Prepare and negotiate venture capital investment agreements, including NVCA model forms.
- Leadership in Transactions : Lead negotiations of key terms in venture capital investment agreements, ensuring the client’s goals are effectively met.
- Mentorship and Training : Supervise, train, and mentor junior associates in all aspects of venture capital financing, fostering professional growth and excellence.
- Advising Emerging Companies : Provide strategic counsel to emerging companies on operational and governance matters, including board and stockholder communications, approvals, and equity award management.
- Collaboration and Teamwork : Work closely with colleagues across the firm to deliver seamless, high-quality legal services to clients.

Compensation and Benefits
Salary : $310,000 - $365,000
