What are the responsibilities and job description for the Real Estate Counsel position at Taylor Root?
I'm currently working with a private real estate investment and development company based in Miami. The company is committed to growth and providing investors with exceptional returns by focusing on strategic investments and innovative solutions in the real estate sector.
The ideal candidate will provide legal support for all aspects of the company’s real estate transactions and operations, including acquisitions, dispositions, financings, and leasing activities.
This is an in-office role and candidates must be admitted to the Florida Bar.
Key Responsibilities :
- Real Estate Transactions : Provide legal advice and support for acquisitions, dispositions, and financing transactions, including the negotiation, drafting, and review of purchase and sale agreements, leases, financing documents, and other real estate-related agreements.
- Due Diligence : Lead the legal due diligence process for acquisitions, including reviewing title reports, surveys, environmental studies, and lease documentation to identify and mitigate risks.
- Compliance & Regulations : Advise on state and federal regulations related to real estate, zoning, land use, environmental laws, tax laws, and securities laws applicable to real estate investment structures. Ensure compliance with local, state, and federal regulations, including landlord-tenant laws and real estate taxes.
- Contract Review & Negotiation : Draft and negotiate various contracts and agreements related to real estate investment, development, and operations, including joint ventures, financing agreements, and property management contracts.
- Risk Management : Identify potential legal risks and recommend solutions, while working closely with other departments such as finance, development, and operations to ensure seamless execution of real estate strategies.
- Corporate Support : Provide legal counsel on corporate governance matters, securities laws (if applicable), and other issues relating to the company's real estate investment structures, joint ventures, and corporate entities.
- General Legal Support : Advise senior management and executives on a broad range of legal issues affecting real estate operations and investments.
