Must be licensed to practice in Florida.Looking for an experienced Corporate Counsel to provide expert legal support for corporate transactions, including mergers, acquisitions, and divestitures, as well as post-transaction integration and legal compliance efforts. The ideal candidate will have a strong background in corporate governance, M&A, contract law, and cross-functional team collaboration.Responsibilities Lead legal efforts in corporate transactions, including mergers, acquisitions, and divestitures, from due diligence to post-closing integration.Manage post-closing financial arrangements such as credit facility amendments, net working capital adjustments, and the tracking of post-transaction milestones.Collaborate with external legal counsel for due diligence and disclosure requirements across corporate and financial transactions.Provide legal support on workforce transition issues, including reviewing and drafting employment-related agreements for acquired entities.Contribute to the development and maintenance of legal templates, policies, and procedures for various corporate and transactional matters.Oversee the Know Your Customer (KYC) process and assist in due diligence activities as needed.Qualifications Juris Doctor (JD) degree from an accredited law school and active membership in the state bar (preferably Florida) or eligibility to register as an In-House Counsel.At least 2 years of experience in a corporate legal role, ideally within the SaaS industry or a tech-driven environment.Expertise in contract law, mergers and acquisitions, and corporate governance matters.Excellent organizational and multitasking skills, with the ability to prioritize in a fast-paced environment.Seniority level Mid-Senior levelEmployment type ContractJob function LegalIndustries Software Development and Law Practice#J-18808-Ljbffr
