Key Responsibilities :
- Represent public and private companies and institutional lenders in complex financing transactions.
- Negotiate junior and senior credit facilities, including acquisition facilities, capital call facilities, and structured equity investment transactions.
- Provide legal counsel on syndicated credit facilities, healthcare finance, public offerings, and private placements.
- Draft and negotiate intercreditor arrangements and advise on workouts and restructurings.
- Handle asset-based credit facilities, project financings, sale / leaseback transactions, and senior, mezzanine, and split collateral credit financings.
- Collaborate with clients on middle-market private equity deals, involving changes of ownership and equity investments.
- Offer a comprehensive perspective on all aspects of financial transactions through representation of both lenders and borrowers.
