Humane World for Animals, a global leader in animal advocacy and protection, is seeking either an Assistant General Counsel or a Senior Assistant General Counsel for the Office of the General Counsel (OGC). Alongside other attorneys in the Office of the General Counsel, you will provide practical and strategic legal advice to Humane World for Animals on a wide variety of issues.
Responsibilities:
- Counsel and advise Humane World on a wide variety of legal issues that apply to 501(c)(3), 501(c)(4), and other tax-exempt organizations, including contracts, privacy, governance, employment tax, fundraising, corporate partnerships, conflicts of interest, intellectual property, lobbying and political activity, privacy, etc. Provide legal and strategic advice through routine interaction with board members, executives, management, and other employees;
- Draft, review, and negotiate legal documents, including contracts and other transactional documents, memoranda, litigation materials, internal policies, and corporate documents. Review fundraising materials and other outward-facing publications for legal concerns;
- Manage litigation in partnership with outside counsel and in coordination with the organizations’ insurers;
- Assist in developing, implementing, and managing compliance and risk management strategies, including policies, procedures, and trainings;
- Supervise interns and paralegals/support staff, mentor junior attorneys, and manage relationships with vendors, including expenses, invoices, and outside counsel fees;
- Identify when the use of outside counsel is appropriate and assist Humane World General Counsel and Humane World Deputy General Counsel in evaluating and engaging such counsel. Supervise outside counsel once engaged;
- Stay up to date on developments in relevant legal areas and engage in relevant professional development activities. Research and anticipate legal developments that could impact the organization;
- Performs other duties or responsibilities, as assigned
- Juris doctor degree required;
- The Assistant position requires a minimum of three (3) years of experience practicing law with an established law firm, corporation or government agency;
- The Senior Assistant position requires a minimum of six (6) years of experience practicing law with an established law firm, corporation or government agency;
- Current license in good standing to practice law;
- Expertise advising complex tax-exempt organizations preferred;
- Superb analytical, organizational, and oral and written communication skills;
- Ability to provide accurate and timely advice in an accessible manner and tailored to the organizations’ needs;
- Ability to identify underlying issues in complex situations and resolve problems creatively, effectively, and proactively;
- Ability to learn quickly and gain credibility through use of good judgment, high integrity, and collegial attitude;
- Ability to manage multiple priorities and work independently, as part of a team, and with all levels of the organization;
- Ability to handle information of a confidential nature and ensure that such information is secured and maintained in an appropriate manner.
