This key role reports to the General Counsel and is responsible for SEC reporting and compliance, corporate governance, M&A legal work, and debt financing. Responsibilities
Advise the General Counsel and executive team on SEC regulations and corporate governance matters.
Support the corporate secretary function and assist with Board of Directors matters.
Oversee SEC reporting, corporate filings, and compliance, ensuring adherence to all disclosure requirements.
Stay informed on new regulations, proposed rules, and industry trends, providing strategic guidance to the company.
Lead legal efforts related to credit facility and other financing initiatives.
Provide legal support for mergers, acquisitions, and business development activities.
Manage complex legal projects with significant financial and business impact.
Develop and implement risk management strategies to mitigate corporate and securities legal risks.
Establish and update corporate policies on securities compliance and provide training to internal stakeholders.
Preferred Qualifications & Skills
5 years of direct experience in corporate and securities law for public companies, either in-house or at a law firm.
Expertise in public company disclosure obligations, internal review processes, and regulatory compliance.
Experience in debt financing and M&A transactions.
Familiarity with network, cybersecurity, or technology sectors is preferred.
Strong ability to work with senior leadership, Board members, and cross-functional teams under tight deadlines.
Practical, solutions-oriented approach with a “can-do” attitude.
Exceptional communication, analytical, and negotiation skills with attention to detail.
