Position: Corporate Paralegal (Direct Hire)

Ultimate Staffing is excited to partner with an industry-leading law firm in the Parsippany, NJ area to find a highly skilled and detail-oriented Corporate Paralegal to join their team! What You'll Be Doing:

Assist with M&A transactions, financing deals, and business organization

Prepare and file documents for corporate formations, partnerships, and LLCs

Draft shareholder and board of director resolutions and meeting minutes

Maintain corporate minute books, stock registers, and compliance records

Conduct due diligence and draft disclosure schedules

Organize transaction closings and coordinate key legal matters

Conduct legal research and prepare legal memoranda

Draft and file compliance documents, including Form D and Blue Sky filings

Manage UCC filings, amendments, and lien releases

Stay up to date with Corporate Transparency Act and assist with beneficial ownership reports

What You Need to Succeed:

Bachelor's Degree & Paralegal Certificate (ABA accredited preferred) or equivalent experience

3-5 years of corporate paralegal experience in a law firm or corporate legal department

Strong knowledge of corporate transactions, M&A, and regulatory compliance

Proficiency in Microsoft Office Suite, Excel, and electronic document management

Excellent attention to detail, organizational skills, and ability to multitask

Ability to work independently and collaboratively in a fast-paced environment

Salary - $95,000 - $105,000
