Role Overview : The Corporate Transaction Attorney will play a pivotal role in launching our Albany office, providing expert legal counsel on complex corporate transactions. This position requires a strategic thinker with a proven track record in mergers and acquisitions, corporate governance, and contract negotiation. The successful candidate will collaborate closely with clients and internal teams to facilitate business growth and ensure compliance with applicable laws and regulations.

Key Responsibilities :

• Transactional Expertise : Lead and manage mergers, acquisitions, joint ventures, and other corporate transactions from inception to completion, ensuring alignment with clients' strategic objectives.
• Due Diligence : Conduct thorough due diligence to identify and mitigate potential legal risks associated with corporate transactions.
• Contract Negotiation and Drafting : Negotiate, draft, and review a wide range of commercial agreements, ensuring clarity, enforceability, and protection of clients' interests.
• Regulatory Compliance : Advise clients on compliance with federal, state, and local laws, including securities regulations and corporate governance standards.
• Client Relationship Management : Build and maintain strong relationships with clients, providing proactive legal support tailored to their business needs.
