As part of acquisition with allstate voluntary benefits we anticipate that group will bring over a large amount of contracts that will need to be reviewed
Identify efficiencies and playbooks
Look at contracts specific to new business area we are bringing on and support current work we have
Hands on and able to be patient in coaching other team members
Day to day we have a current process where she has 6-7 attorneys, a request comes through distribution (if an attorney has dealt with a request in the past for a similar client and they want to take it they can otherwise they will get assigned)

What You’ll Do :
You will be an attorney on the Legal and Compliance team providing legal support primarily to the contracting / procurement (supplier management) area. In this role, you will act as a true business partner by reviewing contracts and vendor agreements that facilitate the work of the enterprise, and you will be working to identify areas where we can educate and improve existing processes in this work with a long-term goal of empowering our business to become even more sophisticated in contract negotiation.
Key Responsibilities :
Review and advise on contract negotiations, including, but not limited to, non-disclosure, indemnity, consulting, SaaS, EULA, MPSA, software, IT contracts, and warranties, and ensure compliance with internal standards and applicable legal and regulatory requirements.
Reduce the company’s contract risk by recommending changes to template agreements, ensuring compliance with applicable laws, rules, and regulations.
Develop and maintain a contract playbook and provide necessary training and support to key stakeholders and partners.
Draft, analyze and review contracts with a focus on mitigating risks, maximizing business opportunities, aligning vendor performance obligations with business objectives, and ensuring efficient contract lifecycle management operations.
Work closely with the company’s Supplier Management Group to continuously improve workflows and processes for contract drafting and negotiation,
Act as a trusted partner by effectively informing stakeholders of potential risks and outcomes, demonstrating a holistic understanding of business goals and risks.
Efficiently formulate accurate, comprehensive advice understandable and digestible by lay people.
The Skills and Background You’ll Need :
Education : Doctor of Jurisprudence.
Bar Admission : Licensed to practice law in any of the 50 U.S. states.
Minimum of four years’ experience negotiating and reviewing commercial contracts is required, three of which should include negotiating and drafting software licensing / SaaS agreements.
Strong communications skills, including ability to produce clear, concise, complete, and persuasive work product, and active listening and persuasive advising required.
Demonstrated history of working closely with internal business partners as a strategic partner to identify and prioritize business needs and assess and communicate risk preferred.
Ability to deliver successful presentations to internal and external audiences preferred.
Familiarity with financial services, procurement processes, and the insurance sector would be helpful.
