The Virginia League for Planned Parenthood is seeking a General Counsel & Vice President of Compliance to join our team!
The General Counsel (GC) & VP of Compliance will be responsible for developing and maintaining the legal capacities of The Virginia League for Planned Parenthood and its ancillary organizations and will be a critical thought partner and leader across the agency. The GC reports directly to the President and CEO and is an integral part of the Executive Leadership Team. The GC is responsible for managing issues associated with daily tactical decisions as well as long-term strategic initiatives. This involves obtaining and overseeing the judicious and cost-effective use of outside counsel, particularly on a pro-bono basis, and working in partnership with PPFA’s Lit and Law Department.
The GC will address the full range of legal issues, including regulatory and reimbursement issues, fraud and abuse issues, contracting, risk management, patient relations, corporate transactions and governance, real estate, intellectual property, and labor and employment issues. They will work to ensure that VLPP conducts its business in accordance with the highest standards and ethical business practices, in compliance with all rules and regulations of regulatory agencies. The GC serves as the Compliance Officer for the organization.
Ideal candidates will have a deep commitment to sexual and reproductive health and rights and will represent VLPP individually and professionally to help preserve and protect VLPP’s ability to serve its mission.
The role requires a Juris Doctorate from an accredited U.S. law school and admission to the VA Bar or eligibility for admission. Demonstrated commitment to diversity, equity, inclusion and belonging and the intersection with health, advocacy, and education. Also required is a minimum of ten years’ legal experience with expertise in health care regulatory matters including health care compliance, risk management and HIPAA regulations.
Essential Job Duties and Responsibilities :
Compliance and Legal Oversight
- Assist in the planning and strategic development process by providing legal and business advice relating to the operation of the Affiliate.
- Participate in the definition and development of corporate policies and procedures to ensure compliance with regulatory requirements.
- Oversee all compliance and legal matters for the organization, ensuring adherence to federal, state / local, and international laws and regulations.
- Provide counsel on health care laws including those on privacy, Medicare, Medicaid and other government programs, fraud and abuse, physician self-referral and anti-kickback laws. Ensure compliance with all applicable law and regulatory agencies including, but not limited to, OSHA, CLIA, DHHS, Title X, and PPFA Accreditation.
- Serve as the primary legal advisor, working with outside counsel as necessary, on a variety of compliance issues, including nonprofit tax law, advocacy, political work, fundraising, and corporate governance.
- Work in collaboration with the PPFA Litigation and Law team and outside counsel as needed for the management of any claims, litigation, regulatory, compliance, or other legal matters.
- Draft, negotiate, and oversee contracts, including professional service agreements, affiliation agreements, master service agreements, business associate agreements, non-disclosure agreements, facility use agreements, and independent contractor agreements for all areas of the Affiliate, including the education of staff regarding contractual requirements.
- Ensure legal awareness training and legal subject-specific training for all staff. Effectively communicate the importance of legal documents such as preservation notices, contracts, subpoenas, affidavits, etc.
- Provide leadership, guidance and oversight to VLPP’s compliance to PPFA’s accreditation standards and process. Collaborate with each department lead to ensure ongoing compliance to all accreditation standards.
- Direct activities of staff in the investigation and management of potential risks and subject insurance claims.
- Manage, select, and oversee outside counsel as needed to support organizational needs. Seek out and retain pro bono counsel where needed / or available.
- Be on-call as necessary to address staff questions and meet the needs of a dynamic healthcare organization.
