Functional Competencies :

Job Responsibilities :
1. Deal Origination
Identify the business development opportunities based on the acquisition criteria of
the buyers / PE investors such as domain technology etc.
Work with the research and campaign management teams to identify the right
companies matching the areas of business development. Approach the potential
leads through campaigning mails calls to pitch the M&A and equity funding
opportunities.
Use the existing network of companies and leads generated by the research teams
to approach and pitch the companies for sale side or buy side mandate.
Maintain a steady flow of the quality mandates
2. Transaction management :
Oversee the execution of deals including mergers and acquisitions capital raises
and loans
Managing dayto day communication with the customers buyers and investors
Liaise with potential IT Service Clients to open up both Buy & Sell side opportunities
Screening of the target buyers and investors
Facilitate and participate in management buyer / investor & seller meetings
organizing road shows conference calls etc.) handle queries
Perform financial and strategic analyses including valuation models and risk analysis
for the transaction
Participate in the valuation and structuring negotiations and other closure activities
of the transaction.
Lead and develop a team of analysts and support staff. Assist deal execution team in
the preparation of transaction documents including information memorandums
financial data sets management presentations and any other pitch books
Assist and coordinate team working on due diligence for data room preparation
data analysis and closing the diligence activity in the timely manner.
Coordinate the Share purchase agreement negotiations with the buyers attorneys
and assist in closing the transaction in a best possible manner.
2. Other Responsibilities :
Assist the development of broader strategic initiatives to identify and evaluate
potential business opportunities
Participate in business and company events to identify new business opportunities
and pitch for new clients.
Qualifications :
8 years of relevant experience in Investment banking space in IT services / TMT or
working on the buy side of corporate development teams of IT services companies
Should have closed minimum of 5 deals in PE / M&A across sectors. Experience in
closure of M&A deals in IT Services space would be viewed positively
Master of Business Administration in Finance (MBA finance) with relevant years of
postqualification experience
What attributes we are looking for :
Familiarity with IT sector and ability to analyse sector growth drivers recent
transactions and future outlook
Prior work experience in an investment banking front office role
Very strong quantitative and analytical skills (including Excel modelling and valuation
work)
Ability to work well under pressure and to tight deadlines and have the aptitude to
synthesize large amounts of information and to develop innovative solutions
Exceptional written and verbal communication skills with specific ability to
communicate concepts and ideas concisely and defend their validity
Team player & ability to work in a globally dispersed team
