Qualifications
We are seeking a detail-oriented and experienced Paralegal to join our team. The ideal candidate will have expertise in corporate governance, commercial contracts, real estate transactions, and mergers and acquisitions (M&A). This role will report to our in-house General Counsel and specialize in general corporate legal matters.
Key Responsibilities
- Maintain and organize corporate books and records.
- Handle filings with regulatory bodies, including business qualifications and fictitious name filings.
- Develop and update spreadsheets to track documents and filings.
Commercial Contracts:
- Ensure contracts are complete, accurate, and ready for execution.
- Obtain appropriate signatures and maintain organized files of executed contracts.
- Conduct reviews of standard agreements, such as NDAs.
Real Estate:
- Ensure lease agreements and related real estate documents are complete and prepared for execution.
- Obtain signatures and coordinate with an external lease administrator to maintain records of executed leases.
- Notarize documents, including remote notarizations as needed.
Mergers & Acquisitions (M&A):
- Support M&A transactions, including managing confidentiality obligations, due diligence, and closing documents.
- Ensure documents are complete and ready for signature.
- Organize and maintain detailed indexes and files of executed M&A documents.
Qualifications
- Minimum of 3–5 years of relevant paralegal experience, with a focus on corporate governance, contracts, real estate, and/or M&A.
- Experience both at a law firm and in-house legal department is preferred.
- Associate's or Bachelor's degree in Legal Studies, Paralegal Studies, or a related field is preferred.
- Proficiency in Microsoft Office Suite and familiarity with document management systems is required.
- Notary Public certification is required, with the ability to perform remote notarizations preferred.
- Exceptional attention to detail and organizational skills are essential.
- Ability to handle multiple tasks and deadlines efficiently.
- Strong written and verbal communication skills are necessary.
