As we continue to expand into global markets and navigate complex legal regulatory landscapes, we are seeking a highly skilled and strategic General Counsel with expertise in mergers and acquisitions (M&A) and international employment law to join our leadership team.
Position Summary: The General Counsel (GC) will serve as the chief legal advisor to the organization, providing strategic guidance and leadership on all legal matters. This individual will oversee the company’s legal affairs, including corporate governance, compliance, contracts, litigation, intellectual property, M&A transactions, and international employment law. The GC will be instrumental in supporting the company’s business objectives while mitigating legal risks and ensuring compliance with applicable laws and regulations across multiple jurisdictions.
The ideal candidate will have significant experience in M&A, corporate law, general legal affairs, and international employment law, and will be an excellent communicator capable of working cross-functionally with senior leadership, external advisors, and other stakeholders.
Key Responsibilities:
- Mergers & Acquisitions (M&A): Lead and oversee the company’s M&A transactions, including due diligence, structuring, negotiation, and integration of deals. Provide counsel on deal strategy, risk assessment, and legal considerations. Collaborate with financial advisors, investment bankers, and external counsel.
- Corporate Governance: Advise the Board of Directors, CEO, and executive team on corporate governance matters, including corporate structure, shareholder relations, and regulatory compliance. Ensure the company adheres to all corporate governance best practices and legal obligations.
- Legal Compliance & Risk Management: Oversee the company’s legal compliance efforts, ensuring that all business operations meet regulatory requirements in domestic and international markets. Proactively identify and manage legal risks across the business, including cross-border operations.
- International Employment Law: Provide strategic counsel on international employment matters, including compliance with labor laws, employee benefits, compensation, workforce management, and dispute resolution across jurisdictions. Ensure that the company adheres to local labor laws in all the countries where it operates, and navigate complex issues such as employee classification, expatriate arrangements, and cross-border mobility.
- Contract Management: Oversee the negotiation, drafting, and enforcement of contracts with customers, suppliers, partners, and third-party vendors. Ensure contracts protect the company's interests and align with business goals.
- Litigation Management: Manage and oversee any litigation, dispute resolution, and claims processes. Work with outside counsel to defend the company against legal actions and ensure an effective legal strategy.
- Intellectual Property (IP): Oversee the protection of the company’s intellectual property portfolio, including patents, trademarks, and copyrights. Ensure IP rights are properly managed and enforced.
- Strategic Counsel: Provide proactive legal advice to senior leadership and other departments, helping shape the company's strategic direction and decision-making processes. Ensure alignment of legal strategies with business goals.
- Team Leadership & Development: Collaborate with external counsels, fostering a high-performing, collaborative, and efficient legal department. Provide mentorship and professional development opportunities for legal staff.
Qualifications:
- Education: Juris Doctor (JD) degree from an accredited law school.
- Bar Admission: Active bar membership in at least one jurisdiction.
- Experience:
- Minimum of 10 years of legal experience, with at least 5 years in a senior legal role, preferably as a General Counsel or senior attorney in a corporate environment.
- Extensive experience in handling M&A transactions, including negotiations, due diligence, structuring, and post-transaction integration.
- Broad expertise in corporate legal matters, including governance, compliance, contracts, IP, and dispute resolution.
- Proven experience in advising on and navigating international employment law, including compliance with labor laws in multiple jurisdictions, handling expatriate issues, and managing cross-border employee relations.

- In-house legal experience in a public company is a plus.
- Fluency or proficiency in additional languages is a plus (Spanish, Polish, Russian).
