CORPORATE & SECURITIES COUNSEL
COMPANY OVERVIEW:
Zentalis® Pharmaceuticals, Inc. is a clinical-stage biopharmaceutical company developing azenosertib (ZN-c3), a potentially first-in-class and best-in-class WEE1 inhibitor for patients with Cyclin E1 platinum-resistant ovarian cancer (PROC). Azenosertib is being evaluated as a monotherapy and in combination across multiple tumor types in clinical trials and has broad franchise potential. In clinical trials, azenosertib has been well tolerated and has demonstrated anti-tumor activity as a single agent across multiple tumor types. The Company is also leveraging its extensive experience and capabilities to translate its science to advance research on additional areas of opportunity for azenosertib outside PROC.
JOB SUMMARY:
Serving as critical member of a collaborative and dynamic team, the Corporate & Securities Counsel is responsible for a broad array of matters, including partnering with internal and external stakeholders to ensure the Company’s compliance with U.S. securities laws, prepare and coordinate Board of Directors and committee matters, partnering cross-functionally on equity compensation matters, and providing timely and efficient legal advice across the Company. This role reports to the Chief Legal Officer.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
· Preparing and reviewing all SEC filings, including periodic and current reports, proxy statements and Section 16 reports in collaboration with internal and external accounting and legal teams
· Preparing and coordinating Board of Directors and committee materials and processes
· Providing legal advice on disclosure matters, including investor presentations, press releases, and other corporate internal and external communications
· Working on corporate governance matters, including assisting in the preparation of certain corporate policies and providing training to employees on those policies
· Coordinating stock equity programs in conjunction with Finance and Human Resources departments
· Preparing, reviewing and negotiating a diverse range of agreements common to the biotechnology industry
· Working closely with departments to provide legal advice as needed
· Providing advice in a wide array of practice areas and special projects as needed
· Keeping current on industry-related laws and regulations and creating or modifying policies and procedures based on such developments
· Managing and directing outside counsel when outside expertise is needed
· Work collaboratively with company management, colleagues and various business units to support corporate activities
· Providing risk management and mitigation counseling
· Remaining up-to-date on governmental regulations that may influence contracting matters
· Other duties as assigned
EDUCATION/KNOWLEDGE/SKILLS/ABILITIES REQUIRED:
· J.D. degree from a national law school and strong academic credentials
· 4-7 years of leading law firm and/or in-house biotechnology/pharmaceutical industry experience
· Licensed to practice law in state of residence
· Strong knowledge of U.S. securities law
· Experience in corporate governance matters
· Excellent written and oral communication skills
· Understanding of, and experience with, the life sciences industry and the applicable regulatory framework preferred
· Ability to prioritize, handle multiple tasks and work independently under tight deadlines
· Proven track record of delivering, independently and consistently, complex projects under challenging circumstances
· Ability to assess risk and provide pragmatic guidance
· Strong interpersonal skills and ability to interact effectively within a multidisciplinary team and in a dynamic environment
· Self-motivated, enthusiastic and intellectually curious
· Flexible and a demonstrated ability to adapt
