These are the Terms of Use ("Terms" or "Agreement") on which Career.com will make the Career.com Sites and the Career.com Services (each as defined below) available to You. These Terms include the Career.com Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy, which is available here, contains important information about the data You provide to us and our use of that data. Please review it carefully.
By accessing or using the Career.com Sites or the Career.com Services in any way, You are agreeing to be bound by this Agreement and the Privacy Policy.
These Terms and the Privacy Policy constitute a binding agreement between You and Career.com and are deemed accepted by You each time that You use or access any Career.com Site or Career.com Services. If You do not accept these Terms, do not use the Career.com Sites or Career.com Services.
If you are accessing the Career.com Sites or using the Career.com Services on behalf of an organization, then you agree to bind both yourself as an individual, and your organization, to all of the terms of this Agreement, and all references to "You" shall also include such organization.
No agency, partnership, joint venture, employment, or franchise relationship is intended or created by this Agreement.
In these Terms, "Career.com Sites" mean any website under Career.com's control, whether partial or otherwise including, without limitation, Career.com and its affiliated network sites and any other Web site from which these Terms were accessed. "Career.com Services" means the products, services, information and other offerings by Career.com via the Career.com Sites.
Subject to these Terms, Career.com authorizes You to access and use the Career.com Sites and the Career.com Services solely for Your personal or internal use in accordance with the requirements set forth in these Terms. Any commercial or other use is prohibited.
The Career.com Sites allow users ("Users") to create individual profiles to support their job searches, which may include personal information ("Profiles"). In addition, Career.com may collect information about Users from publicly available sources and use this information to create User Profiles or to enhance existing User Profiles.
You are responsible for maintaining the confidentiality of Your account, Profile and passwords. You may not share Your password or other account access information with anyone. You are responsible for all uses of Your Career.com Site registrations and passwords and all activity occurring in your account, whether or not authorized by You. You agree to immediately notify Career.com of any unauthorized use of Your account, Profile, or passwords.
You agree that you must be 16 years or older to use the Career.com Sites or the Career.com Services, or the minimum age set by applicable law (if older). For users who are under the age of 18 but over the age of 16, the parent or guardian of the user declares that the parent/guardian has read and understood our Privacy Policy, agrees to be bound by the terms of this Agreement on behalf of the user, and agrees to the use of the Career.com Sites and Career.com Services by the user.
Your use of the Career.com Sites and the Career.com Services is also subject to any other agreement You may have with Career.com. In the case of any conflict between these Terms and any other such agreement, the terms of such other agreement will govern.
The designs, text, graphics, images, video, information, logos, button icons, software, audio files and other proprietary content appearing on the Career.com Sites and within the Career.com Services (the "Career.com Content"), is the intellectual property of Career.com or its licensors, and is protected under copyright, trademark and other laws.
In addition, the compilation (meaning the collection, arrangement and assembly) of all other content on the Career.com Sites is the property of Career.com or its licensors, and is protected by copyright, trademark, and other laws. Unauthorized use of the Career.com Sites or Career.com Services may violate these laws and/or other applicable regulations and statutes, and is prohibited.
You agree that You will preserve all copyright, trademark, service mark and other proprietary notices contained in the Career.com Content or any authorized copy You make of the Career.com Content.
Any software code that Career.com creates to generate or display any content appearing on the Career.com Sites is also protected by Career.com's copyright and You may not copy or adapt such code for any purpose.
You agree that You will not sell or modify any of the above Career.com intellectual property or reproduce, display, publish, distribute, create derivative works or otherwise use the Career.com intellectual property for any public or commercial purpose. You further agree that You will not use the Career.com intellectual property in any manner likely to cause confusion among consumers regarding the ownership thereof, that disparages or discredits Career.com, that dilutes the strength of Career.com's intellectual property, or that otherwise infringes Career.com's intellectual property rights.
The term "post" as used herein shall mean information that You submit, publish or display on a Career.com Site.
You agree that You will not:
(a) transmit, post, distribute, store or destroy material, including without limitation Career.com Content, in violation of any applicable law or regulation, including but not limited to laws or regulations governing the collection, processing, or transfer of personal information, or in breach of Career.com's privacy policy;
(b) take any action that imposes an unreasonable or disproportionately large load on any Career.com Site's infrastructure;
(c) engage in any form of data mining or use any robot, spider, or other automatic device, process, or means to access the Career.com Sites for any purpose, including monitoring or copying any of the material on the Career.com Sites or use any device, software, or routine that interferes with the proper working of the Career.com Sites;
(d) violate or attempt to violate the security of any Career.com Site including attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;
(e) reverse engineer or decompile any parts of any Career.com Site;
(f) aggregate, copy or duplicate in any manner any of the Career.com Content or other information available from any Career.com Site, including expired job ads, other than as permitted by these Terms;
(g) post any content or material that promotes or endorses false or misleading information or illegal activities, or endorses or provides instructional information about illegal activities or other activities prohibited by these Terms, such as making or buying illegal weapons, violating someone's privacy, providing or creating computer viruses or pirating media;
(h) post any resume or Profile or apply for any job on behalf of anyone but You;
(i) share with a third party any login credentials to any Career.com Site;
(j) access data not intended for You or logging into a server or account which You are not authorized to access;
(k) post or submit to any Career.com Site any incomplete, false or inaccurate biographical information or information which is not Your own;
(l) post content that contains restricted or password-only access pages except as otherwise permitted under this Agreement, or hidden pages or images;
(m) solicit passwords or personally identifiable information from other Users;
(n) delete or alter any material posted by any other person or entity;
(o) harass, incite harassment or advocate harassment of any group, company, or individual;
(p) send unsolicited mail or email, make unsolicited phone calls or send unsolicited texts, tweets or faxes promoting and/or advertising products or services to any User, or contact any Users that have specifically requested not to be contacted by You;
(q) attempt to interfere with service to any User, host or network, including, without limitation, via means of submitting a virus to any Career.com Site, overloading, "flooding", "spamming", "mailbombing" or "crashing"; or
(r) use the Career.com Services for any unlawful purpose or any illegal activity, or post or submit any content, resume, or job ad that is defamatory, libelous, implicitly or explicitly offensive, vulgar, obscene, threatening, abusive, hateful, racist, discriminatory, of a menacing character or likely to cause annoyance, inconvenience, embarrassment, anxiety or could cause harassment to any person or include any links to pornographic, indecent or sexually explicit material of any kind, as determined by Career.com's discretion.
Violations of Career.com's system or network security measures may result in civil and/or criminal liability. Career.com will not hesitate to investigate suspicious activity and alert law enforcement authorities and assist in prosecuting Users who are involved in such violations.
The following additional terms shall apply to employers using the Career.com Sites.
Employers are solely responsible for their postings on Career.com Sites. Career.com shall not be considered an employer or the agent of any employer with respect to any job posting appearing on any Career.com Site. Career.com shall not be responsible for any employment decisions made by any employer or other entity which posts jobs on any Career.com Site.
You understand and acknowledge that if You cancel Your employer account or Your employer account is terminated, all Your account information from Career.com including saved resumes, network contacts, and email mailing lists, will be marked as deleted in and may be deleted from Career.com's databases. Information may continue to be available for some period of time because of delays in propagating such deletion through Career.com's web servers.
A Job ad may not contain:
(a) any hyperlinks, other than those specifically authorized by Career.com;
(b) misleading, unreadable, or "hidden" keywords, repeated keywords or keywords that are irrelevant to the job opportunity being presented, as determined in Career.com's sole discretion;
(c) the names, logos or trademarks of unaffiliated companies unless otherwise expressly agreed by Career.com;
(d) any information that is not directly related to the posting;
(e) inaccurate, false, or misleading information; and
(f) material or links to material that exploits people in a sexual, violent or other manner, or solicits personal information from anyone under 18.
An employers may not use its Career.com job ad or profiles to:
(a) post jobs in a manner that does not comply with applicable local, national and international laws, including but not limited to laws relating to labor and employment, equal employment opportunity and employment eligibility requirements, data privacy, data access and use, and intellectual property;
(b) post jobs that require citizenship of any particular country or lawful permanent residence in a country as a condition of employment, unless otherwise required by law;
(c) post jobs that include any screening requirement or criterion where such requirement or criterion is not an bona fide requirement of the posted job;
(d) with respect to Profiles, determine a consumer's eligibility for: (i) credit or insurance for person, family, or household purposes; (ii) employment;or (iii) any government license or benefit;
(e) sell, promote or advertise products or services;
(h) post any job or business opportunity that requires an upfront or periodic payment or requires recruitment of other members, sub-distributors or sub-agents;
(j) post any job or business opportunity that pays sales commission only unless the posting clearly states that the position pays sales commission only and clearly describes the product or service that the job seeker would be selling;
(k) promote any opportunity that does not represent bona fide employment which is generally indicated by the employer's use of IRS forms W-2 or 1099;
(l) advertise sexual services or seek employees for jobs of a sexual nature;
(m) request the use of human body parts or the donation of human parts, including, without limitation, reproductive services such as egg donation and surrogacy;
(n) endorse a political party, political agenda, political position or issue;
(o) promote a religion;
(p) post jobs located in countries subject to economic sanctions of the United States Government; and
(q) except where allowed by applicable law, post jobs which require the applicant to provide information relating to (i) racial or ethnic origin, (ii) political beliefs, (iii) philosophical or religious beliefs, (iv) membership of a trade union, (v) physical or mental health (including pregnancy status), (vi) sexual life, (vii) the commission of criminal offences, or (vii) age.
Career.com reserves the right to remove any job ad or other content from any Career.com Site which, in its sole discretion, does not comply with the above Terms, or is otherwise harmful to the interests of Career.com.
If at any time during Your use of the Career.com Services, Career.com concludes in its sole discretion that You have made a misrepresentation of fact or otherwise misled Career.com in regard to the nature of Your activities, Career.com shall have the right to terminate Your use of the Career.com Services.
Resume Database - Access to Applicant Information
Use of the Resume Database by Employers, Recruiters, Staffing Agencies
If you are an employer, recruiter or staffing agency, You may use the Resume Database to identify qualified candidates for employment and no other purpose. You agree that You shall use the Resume Database strictly in accordance with all applicable privacy and data protection laws. You also agree that You may not disclose any data from the Resume Database to any third party unless necessary to help You to identify qualified candidates for employment.
You may not use the Resume Database in any way which, in Career.com's sole discretion, adversely affects Career.com's business, business prospects, the performance or function of any Career.com Site or the Resume Database, or interferes with the ability of others to access the Resume Database.
You agree that You shall take appropriate physical, technical, and administrative measures to protect any data You obtain from the Resume Database from loss, misuse, unauthorized access, disclosure, alteration or destruction. You shall not share Your login credentials with any other party.
The Resume Database and information obtained from the Resume Database shall not be used:
(a) for any purpose other than to identify qualified candidates for employment, including but not limited to product advertisements or promotions;
(b) to engage in excessive, unnecessary or inappropriate communications with job searchers;
(c) to communicate with any job searcher who has not consented to be contacted by You (where consent is required or, if express consent is not required, who has not informed you that they do not want to be contacted);
(d) to solicit job searchers to attend career fairs or engage in other activities prohibited by these Terms; or
(e) to engage in any other activity that is, in Career.com's sole discretion, inconsistent with these Terms or with law.
When You register with any Career.com Site, You will be asked to create an Account Profile and provide Career.com with certain information including, without limitation, Your name, zip code, career and education level and a valid email address.
Your Profile information must be accurate. You may not include any telephone numbers, street addresses, or other means of contacting You, other than Your name and email address.
You acknowledge and agree that You are solely responsible for the form, content and accuracy of the contents of any resume You post on the Career.com Sites.
You also agree that Career.com may use Your data to offer third party services and products to You based on the preferences that You specify in Your registration or at any time thereafter. Such offers may be made by Career.com or by third parties.
See the Career.com Privacy Policy for additional detail regarding the types of data Career.com will collect from its users, the ways in which Career.com will use this data, and our users' rights in their data.
You understand and acknowledge that You have no ownership rights in Your account and that if You cancel Your Career.com account or Your Career.com account is terminated, all Your account information, including resumes, Profiles, cover letters, saved jobs, and questionnaires will be marked as deleted in and may be deleted from Career.com's databases and will be removed from any public area of the Career.com Sites. Information may continue to be available for some period of time because of delays in propagating such deletion through Career.com's web servers.
Career.com reserves the right to delete Your account and all of Your Information after a significant duration of inactivity.
You understand and agree that You are solely responsible for all information, data, text, software, music, sound, photographs, graphics, video, advertisements, messages or other materials You submit, post or display on any Career.com Site ("User Content"). Career.com claims no ownership or control over any User Content other than as set forth herein. You or Your licensor, as appropriate, retain all patent, trademark, copyright and other intellectual property rights in Your User Content, and You are responsible for protecting those rights, as appropriate.
By posting or otherwise transmitting User Content to the Career.com Sites, You hereby grant, and You represent and warrant that You have the right to grant, to Career.com an irrevocable, perpetual, non-exclusive, transferable, fully paid up, royalty-free, worldwide license (with the right to sublicense directly or indirectly through multiple tiers) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), distribute, modify, prepare derivative works of, or incorporate into other works such User Content for any purpose-commercial, advertising, or otherwise-on or in connection with the Career.com Sites, the Career.com Services, or the promotion thereof.
You hereby grant to us an additional non-exclusive, worldwide, royalty-free, fully paid up, perpetual and irrevocable license to copy, use, anonymize, aggregate, process and create derivative works of (a) data collected from Your use of the Career.com Site or Services, and data related to the functionality of the Career.com Sites and the Services and (b) data by combining or incorporating such data with or into other similar data and information available, derived or obtained from other users, licensees, users, or other sources for improving our existing services, developing new services, generating, using, distributing and displaying statistics for marketing purposes (e.g., indicating the number of users using certain Services) and other internal purposes.
Career.com reserves the right to refuse to accept, post, display or transmit any User Content in its sole discretion.
You represent and warrant that You have the right to grant, or that the holder of any rights, including moral rights in Your User Content has completely and effectively waived all such rights and validly and irrevocably granted to You the right to grant, the license stated above. If You post User Content in any public area of any Career.com Site, You also permit any Career.com User to access, display, view, store and reproduce such User Content for their personal use. Subject to the foregoing, the owner of any such User Content retains any and all rights that may exist in such User Content.
Career.com may review and remove any User Content that, in its sole judgment, violates these Terms, violates applicable laws, rules or regulations, is abusive, disruptive or offensive, or violates the rights of, or harms or threatens the safety of, Users of any Career.com Site.
Career.com reserves the right to expel Users and bar them from the Career.com Sites for violating these Terms or applicable laws, rules or regulations. Career.com reserves the right to take any action with respect to User Content that it deems necessary or appropriate in its sole discretion if it believes that such User Content could create liability for Career.com, damage Career.com's brand or public image, or cause Career.com to lose Users or the services of its ISPs or other suppliers.
Career.com makes no warrantee, representation of guarantee as to the truthfulness, accuracy, utility or reliability of User Content, works derived from User Content, or any other communications or information posted by Users. Career.com does not endorse any opinions expressed by Users. You acknowledge that any reliance by You on material posted by other Career.com Users is solely at Your own risk.
The following is a partial list of the types of User Content prohibited on the Career.com Sites. The list below is for illustration only and is not a complete list of all prohibited User Content.
Content that:
is implicitly or explicitly offensive, such as User Content that engages in, endorses or promotes racism, bigotry, discrimination, hatred or physical harm of any kind against any group or individual;
harasses, incites harassment or advocates harassment of any group or individual;
involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing, "spamming" or "phishing";
promotes or endorses false or misleading information or illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
promotes or endorses an illegal or unauthorized copy of another person's copyrighted work, such as providing or making available pirated computer programs or links to them, providing or making available information to circumvent manufacture-installed copy-protect devices, or providing or making available pirated music or other media or links to pirated music or other media files;
contains restricted or password only access pages, or hidden pages or images;
displays or links to pornographic, indecent or sexually explicit material of any kind;
provides or links to material that exploits people under the age of 18 in a sexual, violent or other manner, or solicits personal information from anyone under 18; or
provides instructional information about illegal activities or other activities prohibited by these Terms, including without limitation, making or buying illegal weapons, violating someone's privacy, providing or creating computer viruses or pirating any media; and
solicits passwords or personal identifying information from other Users.
Any Profile You submit must describe You, an individual person. Examples of inappropriate and prohibited Profiles include, but are not limited to, Profiles that purport to represent an animal, place, inanimate object, fictional character, or real individual that is not You.
You may not include, in any User Content, information that may be interpreted as a direct solicitation, advertisement or recruitment for an available job position directed to individuals seeking employment on either a full time or part time basis. In order to protect our Users from commercial advertising or solicitation, Career.com reserves the right to restrict the number of e-mails or other messages which a User may send to other Users to a number which Career.com deems appropriate in its sole discretion.
Profiles derived from User Content may also be made available through the Career.com Sites. Career.com does not make any representations regarding the accuracy or validity of such derived works or their appropriateness for evaluation by employers. Derived Profiles may differ significantly from User Content.
We appreciate hearing from our Users and welcome Your comments regarding our services and the Career.com Sites. Please be advised, however, that if You choose to provide feedback or suggestions about the Career.com Sites or the Career.com Services, then such information shall be the property of Career.com, and Career.com may use such information without any further obligation to You.
Career.com respects the intellectual property rights of others. If You believe that Your copyright or trademark is being infringed by content uploaded, posted or copied to any Career.com Site, You may provide notice to Career.com's designated agent either by email at legal@career.com or via U.S. Mail at:

Career.com respects the intellectual property of others, and we ask our Users and content partners to do the same. The unauthorized posting, reproduction, copying, distribution, modification, public display or public performance of copyrighted works constitutes infringement of the copyright owner's rights. As a condition to Your use of the Career.com Sites, You agree not to use any Career.com Site to infringe the intellectual property rights of others in any way. Career.com reserves the right to terminate the accounts of any Users, and block access to the Career.com Sites of any Users who infringe the copyrights, or other intellectual property rights, of others. Career.com reserves the right, in its sole discretion, to take these actions at any time, in its sole discretion, against any User who infringes any intellectual property rights of others, with or without notice, and without any liability to the User who is terminated or to the User whose access is blocked. Notwithstanding the foregoing, in the event that You believe in good faith that a notice of copyright infringement has been wrongly filed against You, please contact Career.com as set forth in Section 7 above.
The Career.com Sites act as, among other things, venues for (i) employers to post job opportunities and search for and evaluate job candidates, and (ii) candidates to post resumes and Profiles and to search for and evaluate job opportunities. Career.com does not screen, validate or censor any information posted to the Career.com sites relating to these activities. Career.com is not involved in, and does not control, any interactions or transactions between employers and job seekers. You agree that Career.com is not responsible for any User Content, the quality, safety or legality of any jobs or resumes posted to the Career.com Sites, the truth or accuracy of the listings, the ability of employers to offer job opportunities to candidates or the ability of candidates to fill job openings. Career.com makes no representations about any jobs, resumes or User Content on the Career.com Sites. While Career.com reserves the right to remove User Content, job ads, resumes or any other material from the Career.com Sites, Career.com does not assume any obligation to do so, and, to the fullest extent permitted by law, Career.com disclaims any liability for failing to take any such action.
Career.com also provides a venue for individuals to network for professional and personal purposes. While Career.com may enhance User Profiles or create Profiles using information collected from publicly available sources, Career.com does not screen or censor User Profiles or User Content on the Career.com Sites. Career.com is not involved in the actual communications between Users. As a result, Career.com has no control over the accuracy, reliability, completeness, or timeliness of the Profiles or User Content submitted on the Career.com Sites and makes no representations about any Profile or User Content on the Career.com Sites.
You acknowledge and agree that there are risks associated with using the Internet, including but not limited to the risks of fraud, invasion of privacy, identity theft or even physical harm. You acknowledge and agree that You assume all risks associated with dealing with other users through the Career.com Sites. Other people's information may be offensive to You, harmful or inaccurate, and in some cases may be mislabeled or deceptively labeled. We expect that You will use caution and common sense when using the Career.com Sites.
Career.com does not warrant or promise that any User of a Career.com Site is who they claim to be. Career.com does not and cannot involve itself in interactions between Users, nor can it control the behavior of any User on any Career.com Site. You agree that Career.com shall have no liability in connection with any dispute between You and any other User(s), and you hereby release Career.com (and our agents and employees) from claims, demands and damages (actual and consequential and direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes to the fullest extent permitted by law.
Career.com makes no representations about the accuracy, reliability, completeness, or timeliness of any information appearing on the Career.com Sites or the Career.com Content. Your use of the Career.com Sites and the Career.com Content is at Your own risk.
Changes are periodically made to Career.com Sites and may be made at any time. Career.com cannot guarantee and does not promise any specific results from use of any Career.com Site. No advice or information, whether oral or written, obtained by a User from Career.com or through or from any Career.com Site shall create any warranty not expressly stated herein.
If You are a California resident, You hereby agree that you are waiving the rights and benefits of California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party. "
Career.com encourages You to keep a back-up copy of any of Your User Content. To the extent permitted by law, in no event shall Career.com be liable for the deletion, loss, or unauthorized modification of any User Content.
Career.com makes no representation as to the quality or nature of any third-party products or services purchased through the Career.com Sites, or any other representation, warranty or guaranty. Any such undertaking, representation, warranty or guaranty would be furnished solely by the provider of such third-party products or services, under the terms agreed to by the provider.
If You believe that something on the Site violates these Terms please contact our designated agent set forth in Section 6 above.
THE CAREER.COM SITES AND THE CAREER.COM SERVICES ARE PROVIDED ON "AS IS" BASIS WITHOUT ANY WARRANTEES OF ANY KIND. CAREER.COM MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT APPEARING ON THE CAREER.COM SITES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAREER.COM DISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WHILE CAREER.COM TAKES REASONABLE PHYSICAL, TECHNICAL AND ADMINISTRATIVE MEASURES TO SECURE THE CAREER.COM SITES, CAREER.COM DOES NOT GUARANTEE THAT THE CAREER.COM SITES OR THE CAREER.COM SERVICES CANNOT BE COMPROMISED OR ARE FREE OF VIRUSES OR MALICIOUS CODE. YOU UNDERSTAND THAT THE CAREER.COM SITES AND THE CAREER.COM SERVICES MAY NOT BE ERROR FREE, AND USE OF THE SITES OR SERVICES MAY BE INTERRUPTED.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CAREER.COM OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE CAREER.COM SITES OR CAREER.COM SERVICES (INCLUDING, WITHOUT LIMITATION, COSTS OF DELAY; LOSS OF DATA, RECORDS OR INFORMATION; AND LOST PROFITS, REVENUE OR ANTICIPATED COST SAVINGS), EVEN IF IT KNOWS OF THE POSSIBILITY OF SUCH DAMAGE OR LOSS.
CAREER.COM'S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE CAREER.COM SITE OR CAREER.COM SERVICES, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY OR OTHERWISE), WILL NOT EXCEED $100.

These links are provided solely as a convenience to You and not as an endorsement by Career.com of the contents on such third-party websites. Career.com is not responsible for the content of any third-party sites and makes no representations regarding the content or accuracy of materials on such websites. If You decide to access linked third-party website, You do so at Your own risk.
You agree not to resell or assign Your rights or obligations under these Terms. You also agree not to make any unauthorized commercial use of any Career.com Site.
You agree to defend, indemnify, and hold harmless Career.com, its affiliates, and their respective officers, directors, employees and agents, from any and all claims, losses, liabilities, damages, fees, expenses and costs (including attorney's fees, court costs, damage awards, and settlement amounts) which result from any claim or allegation by a third party relating to (i) Your User Content or other material You post to any Career.com Site, (ii) Your use of the Career.com Sites, or (iii) Your breach of these Terms and/or applicable law, and (iv) your negligence or intentional misconduct in connection with the subject matter of this Agreement. Career.com shall provide notice to You promptly of any such claim, suit, or proceeding.
Career.com will comply with all applicable U.S. federal, state, and local laws in relation to the Career.com Sites and the Career.com Services. You agree that Career.com may disclose any information necessary to satisfy any applicable legal process, court order, governmental request, law, or regulation. You also agree that you will comply with all applicable laws in the course of Your use of the Career.com Sites and the Career.com Services. You also agree that You will comply with all applicable export laws including, but not limited to, the sanctions programs administered by the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury and You agree that You will not directly or indirectly export, re-export, or transfer Career.com Content to any prohibited countries or individuals or permit use by prohibited countries or individuals.
If You use the Career.com Sites through a mobile device, You agree that information about Your use of the Career.com Sites through Your mobile device and carrier may be communicated to us, including but not limited to Your mobile carrier, Your mobile device, or Your physical location. In addition, use of the Career.com Sites through a mobile device may cause data to be displayed on and through Your mobile device. By accessing the Career.com Sites using a mobile device, You represent that to the extent You import any of Your Career.com data to Your mobile device that You have authority to share the transferred data with Your mobile carrier or other access provider. In the event You change or deactivate Your mobile account, You must promptly update Your Career.com account information to ensure that Your messages are not sent to the person that acquires Your old number and failure to do so is Your responsibility. You acknowledge You are responsible for all charges and necessary permissions related to accessing the Career.com Sites through Your mobile access provider. Therefore, You should check with Your provider to find out if the Career.com Sites are available and the terms for these services for Your specific mobile devices.
By using any downloadable application to enable Your use of the Career.com Sites, You are explicitly confirming Your acceptance of the terms of the End User License Agreement associated with the Application provided at download or installation, or as may be updated from time to time.
These terms of this Agreement will remain in full force and effect for as long as You are a User of any Career.com Site or Career.com Service. Career.com reserves the right, at its sole discretion, to remove Your User Content from the Career.com Sites and terminate Your access to the Career.com Sites and/or any Career.com Services at any time and without notice to you. We may terminate your access to and use of the Career.com Sites and/or Career.com Service if, based on our sole judgment, we determine that you have materially breached this Agreement in any manner, including but not limited to (i) violating those sections of this Agreement related to the use of the Career.com Sites or Career.com Services, or (ii) infringing or violating any of our or any third party's intellectual property rights.
The following sections of this Agreement shall continue to apply beyond the termination of this Agreement: Section 2 (IP), Section 6 (User Content and License), Section 12 (Limitation of Liability), Section 13 (Third-Party Websites), Section 15 9Indemnification) and Section 19 (General Provisions, Arbitration).
Except as otherwise specified in the Agreement, any notice required to be sent under the Agreement must be sent as specified below.

Your address as provided by you in your account information. It is your responsibility keep your contact and billing information with Career.com. Career.com may give general notice via its website or through the Service; any such notice will be deemed received upon posting on Career.com's website or through the Service. Career.com may also provide email notice to the email address in Career.com's account information for You and will be deemed received upon being sent by Career.com.
Governing Law
These Terms shall be governed by the laws of the Commonwealth of Massachusetts without regard to conflicts of law principles.
Agreement to Arbitrate
All disputes pertaining to this Agreement shall be subject to mandatory binding arbitration conducted in accordance with the commercial arbitration rules of the American Arbitration Association (the "AAA") to the fullest extent permitted by law. The AAA will appoint the arbitrator within 30 business days upon receiving notice of a dispute subject to this clause. The arbitrator shall allocate all of the costs of the arbitration including the fees of the arbitrator and the reasonable attorneys' fees of the prevailing party, against the party who did not prevail. Both parties understand that arbitration is final and binding on both parties and that each party in executing this agreement is waiving their rights to seek remedies in court, including the right to jury trial.
Equitable Relief, Venue
Nothing in the Agreement prevents either party from seeking injunctive relief in a court of competent jurisdiction.
Any suit or legal proceeding must be exclusively brought in the federal or state courts for Middlesex County, Massachusetts, and You consent to this personal jurisdiction and venue.
Enforceability
If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
Entire Agreement
These Terms constitute the entire agreement between You and Career.com and supersede any prior or contemporaneous negotiations or agreements, whether oral or written, related to the subject matter of these Terms. You agree that You are not relying on any representation by Career.com, oral or written, not included in the Agreement. No representation, promise or inducement not included in these Terms is binding.
Updates, Changes
Career.com may change, modify, add, or remove portions of these Terms at any time in its sole discretion. All changes will be posted on the Career.com Sites and Career.com will update the "Last Updated" date above. Please be sure to review any changes made to these Terms by occasionally checking this page for updates. Your continued use of the Career.com Sites and Career.com Services will constitute your agreement to such updated Terms.
Waiver
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. In addition, Career.com's failure to enforce any provision of these Terms shall not be deemed as a waiver of such provision or otherwise affect Career.com's ability to enforce such provision at any point in the future.
