Position Summary:

The Paralegal is responsible for reviewing, negotiating, and drafting customer agreements, amendments, and related documents, interacting with internal stakeholders on contract, operational and compliance issues, and various other initiatives and projects to support the contracting process. The duties listed below are an outline of the Paralegal’s responsibilities and should not be considered an all-inclusive list. As the needs of the company change, these duties may be modified as needed.

Scope of Responsibility:

• Draft and review customer agreements, including product supply agreements, distribution agreements, confidentiality and nondisclosure agreements, transportation agreements and other contracts related to both domestic transportation and international food trade business.
• Consult on legal provisions within contracts, including identifying potential legal and business issues. Work with attorneys, key business stakeholders, and operational experts to resolve such issues.
• Actively participate in contract negotiations.
• Provide guidance on contracting standards.
• Identify risk, determine the level of risk, and develop contracting strategies to mitigate AJC’s risk exposure.
• Monitor compliance with internal and legal processes and policies.
• Support AJC’s overall corporate compliance efforts, including conducting legal due diligence relating to Office of Foreign Assets Control (OFAC), Export Administration Regulations (EAR) and other export and financial regulations.
• Recommend, develop, and implement contracting policies, procedures, and processes.
• Work with attorneys and other stakeholders to review and update templates, including standard contract templates and amendment templates, as well as develop new templates.
• Assist with administrative activities, including tracking contract status, e-signature, filing, organization.
• Prepare and file entity organizational, amendatory, and dissolution/termination documents; manage FINCEN compliance; prepare and file foreign qualifications and withdrawals.

Education & Experience:

• 4 years of experience as a paralegal focusing on transactional work, in-house experience preferred.
• Experience with commercial contracting required.
• Excellent communication and interpersonal skills.

Language Requirements:

Candidates must be able to speak, read, and write English fluently.
