Anthropic is Hiring a Corporate Counsel Near San Francisco, CA

About the Role:

We are seeking an experienced Corporate Counsel to join Anthropic's legal team based in San Francisco. A mission-driven corporate governance innovator (see, e.g., our Long-Term Benefit Trust and Responsible Scaling Policy) that is also one of the fastest growing businesses of all time, you would be hard pressed to imagine a more dynamic, impactful place to practice corporate law. As the second corporate lawyer in Anthropic’s fast-growing legal team, you will play a role in a broad range of mission-critical areas including Anthropic's corporate governance, global expansion and subsidiary management, equity programs and strategic projects as we continue to scale. You will work closely with senior leadership and cross-functional partners in this highly visible and impactful position. This is an exciting opportunity to help shape the future of Anthropic's corporate legal function. Responsibilities:

  • Support fundraising efforts, including assisting with due diligence, drafting and reviewing financing documents
  • Manage global entity formation and management
  • Assist the GC and AGC Corporate with corporate governance
  • Partner with Finance and People teams to administer Anthropic's equity and donation matching programs
  • Advise on M&A and strategic investment opportunities; help draft and negotiate term sheets and definitive agreements
  • Partner across the legal team, and company, on special projects. Continuously improve processes and best practices; create and maintain templates, playbooks, policies
  • Provide practical, business-oriented legal advice to stakeholders across the company

You may be a good fit if you:

  • J.D. and member of at least one U.S. state bar
  • 6-8 years of relevant experience at a major law firm and/or high-growth technology company 
  • Strong corporate generalist skillset with expertise in securities law, foreign subsidiary management, governance, equity compensation and M&A
  • Excellent communication, influencing and stakeholder management abilities
  • Strategic thinker with sound business judgment who can balance legal and business considerations
  • Strong project management skills and ability to drive initiatives proactively 
  • Team player eager to contribute to Anthropic's growth and build the legal function
  • Comfortable with ambiguity and working in a fast-paced, ever-changing environment
  • Mission-driven and passionate about technology for good

Strong candidates may also:

  • Have a demonstrated ability to build long-standing efficient processes
  • Demonstrate a track record of building strong cross-functional partnerships
  • Have experience with complex equity compensation issues, including managing secondaries and tender offers
  • Possess excellent project management skills and a history of driving strategic legal initiatives that have a significant business impact
  • Bring prior experience working in a fast-paced, high-growth startup environment
  • Approach their work with a blend of humility and confidence, understanding that every contribution matters in a high-growth startup environment
