JOB SUMMARY:

The General Counsel / Deputy General Counsel is a key member of the Legal Leadership Team who assists the Chief Legal Officer in all aspects of managing the Company’s legal affairs and legal department. The General Counsel / Deputy General Counsel role requires significant interaction with senior leadership, providing advice on a variety of legal issues, managing outside counsel, helping set legal strategy and providing solutions to advance business imperatives.

ESSENTIAL DUTIES & RESPONSIBILITIES:

  • Support the Chief Legal Officer in corporate legal initiatives
  • Provide legal advice and counsel to the business including Regulatory, Quality and Compliance functions and other stakeholders on the application of various applicable laws and regulations (e.g., the Anti-Kickback Statute, the Stark Law, the False Claims Act, the Foreign Corrupt Practices act, FDA rules and regulations, among others)
  • Advise on employment law matters. Work with Human Resources and other stakeholders to provide counsel regarding non-competition matters, employment claims, and internal questions regarding application of employment laws
  • Provides advice and counsel on company’s compliance with applicable securities laws and NASDAQ rules and regulations
  • Reviews and/or prepares SEC filings including 10-K, 10-Qs, Proxy Statement, 8-Ks, Section 16 reporting (Forms 3, 4 and 5), and NASDAQ compliance.
  • Responsible for handling open window trading preclearance process and stock ownership and retention requirement compliance
  • Support business and pharmaceutical sales legal needs, including negotiating, drafting and reviewing complex commercial contracts such as services agreements, supply and manufacturing agreements, product purchase agreements, marketing, sales and distribution agreements, vendor agreements, term sheets and statements of work
  • Assists with Intellectual Property (IP) matters and works with outside IP counsel to manage patent and trademark portfolios
  • Manage external counsel and manage to budget
  • Produce legal matter reports as necessary
  • Provide legal support on corporate communications matters
  • Conduct internal investigations as required
  • Prepare and review legal documents as necessary
  • Support the Chief Legal Officer with corporate governance matters as necessary
  • May establish and implement potential litigation strategies, advise on litigation matters, including pre-litigation claims and alternative dispute resolution matters
  • Under the direction of the Chief Legal Officer, lead departmental operations which may include department budget management, legal technology, and knowledge management
  • Other duties as assigned

EDUCATION AND EXPERIENCE:

  • Juris Doctor degree or equivalent required
  • Admitted to practice law in California (member in good standing of CA State Bar)

KNOWLEDGE, SKILLS, AND ABILITIES:

  • Minimum of 8-12 years of legal experience required, preferably within a top law firm, or commercial pharmaceutical/biotech company
  • Experience supporting commercial legal needs and advising on general employment matters
  • Understanding of the Pharmaceutical/Biotechnology industry regulatory environment and has working knowledge of applicable laws and regulations (Anti-Kickback statute, Stark Law, FCPA, False Claims Act, FDA rules)
  • Knowledge of legal and regulatory aspects related to M&A, preferably in the Pharmaceutical, Biotech, Medical Device or Diagnostic industry
  • Exercises excellent professional judgment
  • Is highly responsive and works with a sense of urgency to the needs of stakeholders
  • Has a strong work ethic, follows through on commitments and delivers high-quality results
  • Demonstrates excellent leadership skills and emotional intelligence
  • Demonstrates excellent communication skills and translates complex legal concepts into actionable advice for the business
  • Possesses excellent organizational skills
  • Understands financial concepts and how to manage budgets
  • Preserves confidentiality and sensitive information
  • Good working knowledge of and/or skill using electronic systems, including the MS Office Suite, legal/document management systems, and online platforms

At ARS, we are proud to offer a highly competitive compensation & benefits package. 
The full-time salary range for this posted position is $250,000 to $325,000 and may be eligible for a discretionary annual performance bonus. Actual pay rates are determined by considering multiple factors including qualifications, relevance of experience, education & credentials, subject matter expertise, and other job-related factors permitted by law.
