AP seeks a Counsel – Contracts & Commercial to join its growing legal department. AP’s legal team serves a dynamic business that has skyrocketed from a start-up in 2011 to a $2.7 billion company in 2024 with more than 10,000 employees across the United States and Europe. AP needs a skilled, adaptable lawyer with a keen business mind to help fuel its continued success and its pursuit of IPO readiness as part of the next chapter of its journey.

This role will sit in AP’s corporate headquarters in downtown Orlando, Florida and report to the General Counsel.

What You'll Do

Counsel – Contracts & Commercial will be responsible for: contract drafting and review; legal advice and risk management around sourcing, procurement and vendor management; and policy and best practices development – in partnership with the procurement team – around contracting.

This role will also work on a range of other commercial issues that impact AP’s business, such as AP’s intellectual property portfolio, and will partner and coordinate with internal subject matter experts on issues involving data privacy and other aspects of the company’s information governance framework.

• Draft, review and negotiate a wide range of goods and services contracts, including IT infrastructure agreements, licensing agreements, cloud services agreements, SaaS agreements, technology agreements dealing with AI or analytics, BAAs, data privacy agreements, and NDAs
• Draft scopes of work or specifications documents
• Provide recommendations regarding service level agreements and key performance indicators
• Partner with procurement and other teams during contract negotiations to drive positive outcomes and manage risk
• Assist with the RFP preparation process and the development of standard templates and forms and/or ongoing review and strengthening of existing forms and templates
• Support due diligence efforts regarding supplier qualifications
• Ensure contracts comply with applicable regulatory requirements
• Other duties as assigned

What You'll Need

• A humble, curious, customer service-oriented mindset
• D. from accredited law school and 5 years of legal experience with a focus on contracting and commercial issues, including SaaS agreements and a range of vendor or supplier agreements
• Practical understanding of the issues involved with the management of commercial relationships in a large business and the ability to provide actionable legal and business advice regarding those issues
• Experience working on RFPs, bids, vendor due diligence and/or other similar issues
• Desire to work on cross-functional projects with procurement, finance, IT, operations, and compliance
• Desire to work on range of other commercial issues ( g. , AP’s intellectual property portfolio)
• Desire to work in an “in office” environment as part of a dynamic team that enjoys working together and will invest in your development and career progression
• Willingness to travel on an as needed (but limited) basis (less than 10 percent)

Things that would be a plus (but not required):

• Prior in-house experience
• Familiarity with insurance industry-related contracts and issues, such as carrier contracts or technology contracts that relate to the sale & administration of insurance products/plans
• Experience or familiarity with one or more of the following: intellectual property, data privacy, cyber security issues, HIPPA, BAAs, insurance provisions and coverages, legal issues surrounding artificial intelligence, dispute resolution, the financial services industry generally
• Experience with contract lifecycle management technologies
