Position OverviewThe Venture Capital Legal Counsel will be responsible for providing comprehensive legal support for the firm's investment activities. This role will involve advising on a wide range of legal matters related to venture capital transactions, including investment structuring, regulatory compliance, and portfolio management. The ideal candidate will have a strong background in venture capital or private equity law and a proven track record of managing complex legal issues in a high-growth investment setting.

- Investment Transactions: Draft, negotiate, and review investment agreements, including term sheets, subscription agreements, and shareholder agreements. Ensure all investment activities comply with applicable laws and regulations.
- Due Diligence: Conduct legal due diligence on potential investment opportunities, including reviewing company formation documents, intellectual property portfolios, and contractual obligations.
- Regulatory Compliance: Advise on regulatory requirements and compliance matters related to venture capital investments, including securities laws, anti-money laundering regulations, and data protection laws.
- Portfolio Management: Provide ongoing legal support to portfolio companies, including advising on corporate governance, employment law, and intellectual property issues.
- Dispute Resolution: Manage and resolve legal disputes that may arise with portfolio companies, investors, or other third parties.
- Legal Strategy: Develop and implement legal strategies that align with the firm's investment objectives and risk management practices.
- Collaboration: Work closely with internal stakeholders, including investment professionals, executives, and external legal counsel, to ensure seamless execution of investment transactions and legal compliance.
- Juris Doctor (JD) degree from an accredited law school and admission to the bar in [State].
- Minimum of 5-8 years of experience as a legal counsel in venture capital, private equity, or a related field.
- In-depth knowledge of venture capital transactions, securities laws, and regulatory compliance.
- Strong negotiation, drafting, and analytical skills, with the ability to handle complex legal issues effectively.
- Proven ability to work independently and manage multiple priorities in a fast-paced environment.
- Excellent communication skills, with the ability to convey legal concepts clearly to non-legal professionals.
