Position Title: Corporate Paralegal
Position Summary -
NJII is actively seeking an experienced Paralegal professional to join our dynamic team. The ideal candidate should have a strong background in corporate law and be able to manage multiple tasks and deadlines. The Corporate Paralegal will be responsible for organizing and preparing legal documents, supporting the contract management process, and conducting research at the request of Internal Counsel. They must have experience supporting a corporate legal function, with proficiencies in contract and corporate law. The Corporate Paralegal should excel in a cross-functional environment and have a track record of success in contract management, compliance, legal review, and a passion for building and supporting processes in the corporate legal function.

Essential Functions -
  • Preparing and reviewing corporate documents, including contracts, bylaws, minutes, and resolutions.
  • Ensuring all legal documents are uploaded and tracked in NJII's Contract Management System, a centralized database used for the retention of all contracts and agreements.
  • Working closely with internal business leaders, internal counsel, and external counsel on setting priorities and tracking document review through to
  • Managing the tracking of the document between internal and external stakeholders through contract approval and signatures.
  • Organizing and hosting meetings between internal counsel, business leaders, and external counsel, when required.
  • Monitoringdeadlines and ensuring compliance with applicable state and federal laws and regulations.
  • Assisting with applying necessary changes to contracts and corporate policies as needed by business teams to remain in compliance.
  • Updating contracts and drafting templates, forms, letters, briefs, or contract amendments.
  • Attending all Board of Directors committee gatherings and recording minutes for each meeting
  • Assisting the company's legal counsel through all stages of corporate transactions and with corporate governance matters.
  • Renewing and drafting employment contracts with outside consultants.
  • Maintaining and renewing business licenses.
  • Reviewing and monitoring legislation and regulations that potentially affect the company's operations and processes, and updating leadership when necessary.
Conducting legal research into case law, when necessary
Education/Degree Requirements:
  • Bachelor's degree and a certification in Paralegal Studies or demonstration of equivalent knowledge and skill.
Years of Experience Required:
  • A minimum of 5 years of experience as a paralegal professional or equivalent position.
Knowledge/Skills Required:
  • Excellent time, task, and project management skills and the ability to perform complex tasks efficiently and independently.
  • Exceptional writing and editing skills.
  • Exceptional collaboration, communication, and legal process skills across cross-functional teams and diverse business industries.
  • Ability to learn the business quickly and collaborate with NJII divisional leaders to align agreements and contracts with NJII's strategic plan.
  • Proven experience in handling legal matters related to federal contracts, healthcare regulations, and Department of Defense (DoD) requirements is highly desirable.
  • Strong understanding of relevant laws, regulations, and industry standards governing federal contracts, healthcare, and Department of Defense (DoD) operations.
  • Excellent communication, presentation, and interpersonal skills.
  • Proficiency in Microsoft Office Suite
  • Experience with higher education academic institutions is a plus.
  • Ability to protect company and client confidentiality.
  • Desire and ability to learn new skills and adapt to new processes and technologies.
