We are working with an AmLaw100 firm on a remote PE contract attorney role. The ideal candidate will have three to six years of M&A experience, including all aspects relating to acquisitions and dispositions from the letter of intent and nondisclosure agreement stage through closing, as well as experience with general corporate day-to-day operations. Private equity experience would be preferred, including familiarity with private equity platform and add-on transactions. The ideal candidate would be able to handle multiple transactions and client demands, in many cases under significant time pressures. Experience with corporate due diligence review, preparing diligence reports, managing diligence teams, drafting organizational documents, board and shareholder resolutions, and other ancillary transaction documents (i.e., escrow agreements, bills of sale, equity subscription agreements) preferred. Ideally would have variety of national and international client experience.

Approximately a 6 month engagement. Must be licensed and living in one of the following states: NY, MA, TX, SC, NC, IL, PA, KS, CA, FL, TN, NJ, OR, WA or DC.
