For more information about our people and platforms, visit us at www.cerberus.com. Job Purpose: Cerberus is seeking an Associate General Counsel to expand their Fund Legal team. This is an exciting opportunity to join a high-performing in-house team that provides legal counsel on matters related to the firm, Cerberus’ portfolio companies, and investment activities. As an Associate General Counsel, you will support senior lawyers with all aspects of fund launch process. Responsibilities/Deliverables: Fundraising and New Fund Closing Coordinate fund structuring between Portfolio Managers, Capital Formation, Sales Operations, Tax, Operations, Fund Accounting, IR, external tax legal counsel Work with senior fund counsel and external counsel to oversee and manage the preparation of fund legal and offering documents of all fund vehicles in structure (e.g., LPAs, PPMs, subscription documents) Work with senior fund counsel and external counsel to oversee and manage investor negotiations and the preparation of side letter agreements Direct the fund closing process (coordinate processes run by Investor Relations and Fund Accounting, Investment Operations, Tax, external legal counsel, external fund administrator) Ongoing Fund Operations Work with external counsel to oversee preparation of summary of material terms for new funds Assist with advisory board consents and advisory board meetings, including coordination of workflows run by Sales Operations, Investor Relations, external legal counsel Manage fund restructurings (e.g., creation of AIVs or new feeders) between external counsel, Investor Relations, Tax, Investment Operations and Fund Accounting Oversee side letter maintenance with assistance of compliance attorney and manage MFN opt-in process Oversee established processes for fund investor transfers Key Requirements: At least 4 years of law firm (or 4 years of law firm and in-house) experience within an investment management function Experience working with investment advisers and private funds (e.g., private equity funds, hedge fund, and hybrid funds) Experience with fund legal matters spanning fundraising, new fund launches, and fund operations Able to manage multiple tasks/projects with competing deadlines Highly organized and resourceful team player with immaculate attention to detail Exceptional research, communication, analytical, and writing skills B.A. or B.S. with an excellent academic record J.D. with an excellent academic record The base salary for this position is expected to be between $295,000.00 and $345,000.00. The base salary offered to the chosen candidate will be commensurate with a candidate’s relevant experience and other qualifications for the position, as determined by the Company in its sole discretion. In addition to base salary, this position is eligible for an annual discretionary bonus, which is often a meaningful portion of the compensation package, and a robust benefits package.
