Draft, review, revise, and finalize commercial contracts in collaboration with other Legal Department personnel. Support attorney during contract negotiations by documenting issues and agreed to language and preparing next contract draft. May assist attorney with more complex contracts.
Serve as a primary contact for internal clients, including advising on contract status, contract process, and contract policy (e.g., applicable approvals and signature authority).
Manage open matters and triage contracts, including (a) initial review of request and related documents; (b) securing the necessary and appropriate background information, business input, and subject matter expert input; and (c) determining next steps in contracting process.
Provide applicable existing contract templates to clients; assist clients with using and properly completing pre-approved contract templates; review completed and executed contract templates. Identify when standard template requires modification.
Develop experience and knowledge with contract types the Contracts Specialist will regularly assist with, including knowledge of Constellation’s contract positions and rationale.
Assist with developing, maintaining, and updating standard contract templates and related contract aids (playbooks, checklists, etc.).
Develop productive working relationships with clients; be a valued business partner. Effectively manage client expectations.
Assist with training clients and certain Legal Department colleagues on contract process, contract policy, contract templates, and contract aids.
Participate on calls with Constellation attorney and outside counsel. Send information to outside counsel upon request of Constellation attorney.
File appropriate electronic information (emails, documents, notes, contact information) in Legal Department’s matter management system, and coordinate with Legal Department staff to ensure input of all required information in this system.
Work on special projects and perform such other duties as may be assigned from time to time.
Bachelor’s degree required.
Four years of experience preferred (or equivalent expertise) working with contracts in a corporate legal department, contracts department, law firm, or procurement department, including drafting, reviewing, and revising contracts.
Proficient in Microsoft Office Suite and Adobe Acrobat.
Contract lifecycle management, matter management, SharePoint, OneDrive, and/or other workflow or document management software experience strongly preferred.
Professional, can-do attitude.
Ability to multi-task in a high-performance environment, including the ability to handle a high volume of matters, determine priorities, and timely complete tasks, assignments, and projects.
