The Position:

The Associate Corporate Counsel will provide legal advice and support across all of CPM’s product segments. She/he is a key member of the legal team and will frequently provide legal advice to functional and divisional leaders, including CPM senior management. She/he will provide guidance on a broad range of complex legal and compliance matters. As a key member of the CPM legal team, the Associate Corporate Counsel must possess excellent skills in preparation and negotiation of contracts, critical thinking, project management, collaboration and communication.

This is a remote position, physical offices available in multiple locations

Specific Responsibilities Include:

• Provide day-to-day legal support preparing and negotiating contracts
• Responsible for day-to-day operation of CPM’s import and export compliance program
• Provide support on M&A transactions, including conducting legal due diligence, reviewing and drafting transaction documents, and managing transaction timelines
• Advise on various regulatory matters
• Draft corporate governance documents
• Participate in cross-functional meetings and teams as requested by various CPM business units to advise on various legal and regulatory issues
• Provide litigation support on an as needed basis
• Occasional travel on an as needed basis

The Qualifications:

• Bachelor’s Degree
• JD from an ABA accredited law school
• Licensed to practice in a state and be in good standing
• 2-4 years of corporate, transactional, and/or regulatory legal experience preferred (private practice or in-house)
