Position Purpose: Provides legal support to with particular emphasis on corporate governance for EL Pollo Loco and its related companies. This includes overseeing corporate minute books for all entities, assisting with SEC reporting requirements, proxy statement, and annual meeting, as well as a variety of corporate legal matters. Supports new litigation/prelitigation and administrative matters by managing insurance, and legal holds. Applies a balanced business and legal focus to proactively identify and manage risks and issues and propose solutions.
Essential Duties and Responsibilities: Collaborates with and provides guidance and assistance to the Legal department on litigation and corporate governance matters. This may include, but is not limited to, the following:
  • Create and maintain board/committee minute books and director and officer files.
  • Manage and maintain all key corporate governance documents and policies.
  • Manage planning and preparation of annual shareholder meeting, including preparation and distribution of proxy materials and related documents and filings; director and officer questionnaires, related party transactions, proxy cards, script, voting and internal websites; directing activities of transfer agent and other vendors.
  • Manage all aspects of the preparation and distribution of materials for Board of Directors and Committee meetings, including preparation and drafting of agendas, meeting minutes, routine resolutions, written consents, and related administration and record keeping.
  • Manage stockholder matters including maintaining detailed file sharing system of equity documentation; assistance with administration of equity plan; assistance with insider trading process; preparation, review, coordination and filing of reports of beneficial ownership for officers and directors on forms 3, 4 and 5; manage relationship with transfer agent.
  • Prepare and file select SEC documents (e.g. Section 16 filings, 8k filings and support for 10-K and 10-Q filings) and ensure compliance with NASDAQ and transfer agent rules.
  • Implement and maintain corporate compliance calendar and other policies and protocols; calendar and monitor deadlines.
  • Own and maintain corporate records retention program; serve as custodian of corporate records; interfaces with internal and external auditors on corporate recordkeeping.
  • Own and maintain corporate authority structure, including delegations of authority and powers of attorney.
  • Implement and maintain compliance related policies and processes and provides support for policy training, enforcement and compliance.
  • Research and analyze corporate governance issues; monitor new and developing corporate governance related trends and best practices; track industry precedent; peer benchmarking; develops, maintain charters, policies, procedures and guidelines; maintain internal knowledge-sharing resources with up to date, accurate and organized documentation and archives.
  • Manage all aspects of legal holds, including identifying subjects of legal holds and the records categories of they may have, sending hold notices and following up to retrieve and save any categories of records that may be maintained by the individuals, and ensuring the records are maintained and saved in an organized manner that is compliant with all document retention obligations.
  • Maintain reporting on litigation and prelitigation matters that tracks key metrics, including key facts, case status, settlement posture, settlement amounts, etc.
  • Reporting claims to insurance and managing the communication with insurance providers about claims, as needed.
  • Serve as an ambassador for the Legal function, builds rapport and open and honest working relationships with all levels of employees.
  • Other activities, duties or responsibilities that are assigned by your supervisor.
Qualifications – Education, Experience, License/Certifications:To perform this job successfully, an individual must be able to satisfactorily perform the essential functions of the job. The requirements listed below are representative of the education and/or experience required.
Education and/or Experience: Associate degree or equivalent required, BA degree preferred. Minimum 5 years’ experience as a paralegal specializing in either corporate/SEC matters required, preferably in retail/hospitality/restaurant industry. In-house paralegal highly desirable.
License/Certifications: Paralegal certificate from an accredited program required.

The pay range identified is the hourly or salary rate El Pollo Loco expects to pay for the posted position. This range does not include any benefits or bonus opportunities that might be available for the position based on position and eligibility criteria. Individual pay will vary based on a variety of factors including years of experience, industry experience, education, geography, etc.
