Oil, Products & Gas ("OPG”) Law has a team of Legal Analysts (paralegals) who provide transactional support for the Downstream, Chemicals and Midstream ("DCM”) businesses' intellectual property transactions. This position is based in San Ramon, CA OR Richmond, CA and provides legal support for the Company's Technical Center and Oronite and reports to the Supervisor, Legal Analysts, DCM, OPG Law.
This contractor position requires a highly skilled Legal Analyst who is knowledgeable in contracting and exhibits strong leadership and influencing skills. The ideal candidate is an experienced Legal Analyst who thrives in a challenging and fast-paced environment, is technology proficient, and has excellent communication and interpersonal skills. The ideal candidate should also excel at solving problems and exhibits a high-level of initiative.
Roles and Responsibilities:
This position will perform paralegal tasks under the guidance and direction of attorneys, including, but not limited to:
• Review, draft, revise, and negotiate a variety of technology agreements including, but not limited to the following: confidentiality agreements, research agreements, technology license agreements, joint development agreements, field test agreements, services agreements, consulting agreements, and alliance agreements, based on consultation with business partners and guidance from attorneys.
• Engage with and provide recommendations (risk analysis) to business partners, contract administrators and attorneys on counterparty's changes to legal terms in agreements.
• Work closely with subject matter experts in tax, finance, litigation, information risk management, compliance and insurance to integrate guidance into negotiations and agreements.
• Analyze and summarize documents for review by business partners and attorneys.
• Perform legal due diligence and legal research.
• Work closely with business partners and attorneys to resolve a variety of day-to-day issues and support a broad range of intellectual property-related transactions, commercial transactions and/or projects.
• Recommend, develop and implement process improvements and simplification of tasks.
Qualifications and Education Requirements:
• Minimum of four years of experience drafting, revising, and negotiating a variety of agreements including confidentiality and other technology agreements.
• Paralegal certificate from an accredited program or Bachelor's degree.
• Ability to effectively analyze and communicate legal issues and collaborate across broad functional and organizational lines (e.g., business partners, subject matter experts, attorneys and law professionals).
• Strong organizational, analytical, proofreading, editing and research skills.
• Ability to exercise good judgment and maintain-high quality performance with competing deadlines and priorities in a fast-paced work environment.
• Strong communication (both oral and written), collaboration and interpersonal skills.
• Ability to give effective feedback (both positive and constructive) and receive feedback (both positive and constructive) and act upon it.
• Self-starter who is adept at working in a team environment and partnering with management, business partners, in-house counsel, outside counsel and staff.
• Ability to work independently with minimal supervision and think independently on how to solve problems and offer solutions.
• Demonstrate a growth mindset.
• Ability to provide your perspective in a professional manner.
• Demonstrated ability to take initiative, ownership and accountability.
• Proficiency in the Microsoft Office suite of tools and the ability to quickly learn new tools.
HS Diploma OR GED Required
Must have a valid driver's license and current state required minimum vehicle insurance coverage to drive onto Client and Company property.
Preferred Skills:
• Prior experience as a contracts analyst, contracts specialist, or contracts manager.
• Chemistry background or degree, and/or experience supporting chemical technologies.
• Law degree from an ABA-accredited law school.
• Prior experience using Sirion Labs, Smart, or other contracting management platforms.
• Advanced skillset in Microsoft Office tools (i.e., Outlook, Word, Excel, PowerPoint, Teams, SharePoint, Forms, OneNote).
• Experience in and/or working relationship with the Company Law Function.
Pay Range:
The pay range for this position is $45.00- $52.00 per hour; however, the pay offered may vary depending on job-related knowledge, skills, and experience. This pay information is being provided pursuant to applicable law and is based in part on market location.
