We are delighted to be partnered with a leading private equity who are looking for an AGC to join their team.

The Associate General Counsel will join the Legal and Compliance team providing legal advice and counsel in support of a portfolio of solar projects throughout North America and Europe.

You will take primary responsibility for the drafting, review, and negotiation of a variety of transaction and commercial agreements including LOIs/term sheets, MIPAs/APAs, construction contracts, engineering and procurement agreements, service agreements, O&M agreements, site control agreements, power purchase agreements and PILOT agreements.

Additional duties

• Provide legal support in structuring and executing renewable energy investment transactions including project acquisitions, development agreements, power purchase agreements (PPAs), and joint ventures.

• Draft and negotiate transactional agreements, including asset purchase agreements, project finance documents, and partnership agreements.

• Conduct legal due diligence on target renewable energy projects, identifying regulatory, contractual, and environmental risks.

• Collaborate with deal teams, project developers, and external counsel to ensure smooth transaction execution.

• Collaborate with legal team members with transaction-related documentation, including closing documents, regulatory filings, compliance requirements, etc.

Required Qualifications

• J.D. Required and must be admitted in a U.S. jurisdiction to practice law.

• 5 years of experience as a transaction lawyer in the infrastructure space, including specific legal knowledge and experience in renewable energy, or similar
