Director of Corporate Governance and Shareholder Relations Position SummaryWe're seeking a dynamic leader to head our Corporate Secretary operations team. This pivotal role involves managing a diverse range of shareholder, corporate governance, and legal matters, requiring effective communication with senior management and our Boards of Directors. You'll collaborate with critical functions across the organization, including Legal, Human Resources, Tax, Finance, Investor Relations, Sustainability, Sourcing, and Regulatory Affairs. Your mission will be to oversee crucial aspects of corporate governance for our company and its subsidiaries, ensuring compliance with federal, state, and stock exchange legal and regulatory requirements. Work EnvironmentThis position offers a hybrid work arrangement, allowing you to balance remote work with on-site presence at our office within our service territory, based on business needs. Reporting RelationshipYou'll report directly to the Senior Director of Corporate Governance. Key Responsibilities
Leadership and Collaboration:
Work closely with the VP, Deputy General Counsel, Corporate Secretary, Managing Counsel, and other key team members on shareholder services, Board of Directors matters, and subsidiary entity management.
Directly engage with Board members and the Executive Officer Team to develop and execute governance strategies.
Shareholder Relations:
Oversee the annual shareholders' meeting, including preparation of the annual report and proxy statement.
Manage institutional and retail shareholder engagement activities in partnership with Investor Relations and Executive Compensation teams.
Corporate Governance:
Advise officers on internal and external corporate governance matters, policies, and best practices.
Ensure compliance with legal and regulatory requirements for the company and its subsidiaries.
Team Management:
Lead a team supporting internal governance committees, subsidiary management, affiliate rule compliance, stock exchange listings, and shareholder services.
Oversee staff providing administrative and support services for the Boards of Directors and their committees.
Strategic Planning:
Develop and implement governance strategies aligned with company goals and industry best practices.
Stay abreast of evolving ESG practices and shareholder communication trends.

Qualifications
Bachelor's degree in Business or equivalent work experience in a related field
Minimum 8 years of experience in corporate governance, compliance, shareholder relations, legal, or regulatory fields
Law degree and CA Bar admission preferred
10 years of progressive leadership experience ideal
Expertise in board operations, annual shareholder meetings, and public company governance
Strong understanding of corporate reporting, regulatory filings, and compliance requirements
Experience with ESG best practices and shareholder engagement
CompensationWe offer a competitive salary range based on skills, experience, and location:
Bay Area: $182,000 - $310,000
Other California locations: $173,000 - $295,000
