Greenbaum, Rowe, Smith & Davis LLP (GRSD) has an immediate opening for an experienced Real Estate Paralegal is needed to support the busy and well-established real estate department. To be considered for this position, an individual must be articulate, well-organized, possess good communication skills, be able to work independently, and be willing to take initiative. This position will require the ability to work independently to manage closings and have a high volume of direct contact with attorneys, lenders, and title companies.
Summary of Essential Duties & Responsibilities: The essential function of a real estate paralegal is to support the busy real estate practice group. The position requires an understanding of and experience with NJ commercial real estate transactions, as well as excellent technical and organizational skills, attention to detail and ability to work in a team setting. The successful candidate will have experience in the following areas:
  • Assist attorneys with all aspects of commercial real estate transactions, including due diligence, document preparation, and closing activities.
  • Assist with all aspects of commercial purchase and sale transactions including review of Assist with corporate entity formations, mergers and acquisitions, and other corporate transactions.
  • Support attorneys in drafting and reviewing general business contracts, corporate governance documents, and transactional agreements.
  • Handle administrative tasks, such as scheduling meetings, managing calendars, and preparing expense reports.
  • Prepare and file various real estate-related documents, such as deeds, mortgages, and lease agreements.
  • Maintain organized electronic and physical files, ensuring accuracy and compliance with firm procedures.
  • Prepare closing checklists and update as needed throughout the course of the transaction
  • Coordinate with clients, lenders, title companies, and other parties involved in real estate transactions.
  • Conduct research on property titles, zoning regulations, and other relevant legal issues.
  • Review closing due diligence items, including insurance certificates, UCCs, corporate documents, leases, contracts, surveys, title policy proformas, etc.
  • Review title commitments and work with the title company and attorneys to clear title exceptions
  • High volume of direct communication with attorneys, lenders, and title companies to ensure any closing conditions are satisfied in a timely manner
  • Prepare ancillary loan documents and assist with closings
  • Manage post-closing files, preparation of draft attorney review letters, preparation of deeds and related conveyance documents, review of settlement statements and calculation of closing adjustments.
Requirements
  • Commercial real estate experience (minimum 2 years).
  • Commercial lending experience (minimum 2 years).
  • Residential real estate experience (NJ preferred) (minimum 2 years).
  • Experience with general corporate/transactional legal work is a plus.
Skills And Abilities
  • Must have the ability to work independently with minimal supervision in a collaborative environment.
  • Strong organizational skills to manage workload and prioritize multiple assignments.
  • Excellent written and verbal communication skills, organizational skills, project management skills, and attention to details
  • Proficient in the use of technology applications such as a case management software, Word, Excel, Outlook, etc. Familiarity with iManage (or similar document management software).
Education And Experience
  • Candidates must have a paralegal certificate or equivalent experience.
  • Prior commercial real estate experience in law firm environment preferred.
  • 5 years of experience working in commercial real estate with a focus on title, survey, and leasing matters.
