Harvest Technical Services is Hiring a 4303 Paralegal Near San Ramon, CA

Summary:

  • This position requires a highly skilled Legal Analyst who is knowledgeable in contracting and exhibits strong leadership and influencing skills.
  • The ideal candidate is an experienced Legal Analyst who thrives in a challenging and fast-paced environment, is technology proficient, and has excellent communication and interpersonal skills.
  • The ideal candidate should also excel at solving problems and exhibits a high-level of initiative.

Responsibilities:

  • This position will perform paralegal tasks under the guidance and direction of attorneys, including, but not limited to:
  • Review, draft, revise, and negotiate a variety of technology agreements including, but not limited to the following: confidentiality agreements, research agreements, technology license agreements, joint development agreements, field test agreements, services agreements, consulting agreements, and alliance agreements, based on consultation with business partners and guidance from attorneys.
  • Engage with and provide recommendations (risk analysis) to business partners, contract administrators and attorneys on counterpartys changes to legal terms in agreements.
  • Work closely with subject matter experts in tax, finance, litigation, information risk management, compliance and insurance to integrate guidance into negotiations and agreements.
  • Analyze and summarize documents for review by business partners and attorneys.
  • Perform legal due diligence and legal research.
  • Work closely with business partners and attorneys to resolve a variety of day-to-day issues and support a broad range of intellectual property-related transactions, commercial transactions and/or projects.
  • Recommend, develop and implement process improvements and simplification of tasks.

Required Qualifications:

  • Minimum of four years of experience drafting, revising, and negotiating a variety of agreements including confidentiality and other technology agreements.
  • Paralegal certificate from an accredited program or Bachelors degree.
  • Ability to effectively analyze and communicate legal issues and collaborate across broad functional and organizational lines (e.g., business partners, subject matter experts, attorneys and law professionals).
  • Strong organizational, analytical, proofreading, editing and research skills.
  • Ability to exercise good judgment and maintain-high quality performance with competing deadlines and priorities in a fast-paced work environment.
  • Strong communication (both oral and written), collaboration and interpersonal skills.
  • Ability to give effective feedback (both positive and constructive) and receive feedback (both positive and constructive) and act upon it.
  • Self-starter who is adept at working in a team environment and partnering with management, business partners, in-house counsel, outside counsel and staff.
  • Ability to work independently with minimal supervision and think independently on how to solve problems and offer solutions.
  • Demonstrate a growth mindset.
  • Ability to provide your perspective in a professional manner.
  • Demonstrated ability to take initiative, ownership and accountability.
  • Proficiency in the Microsoft Office suite of tools and the ability to quickly learn new tools.

Preferred Qualifications:

  • Prior experience as a contracts analyst, contracts specialist, or contracts manager.
  • Chemistry background or degree, and/or experience supporting chemical technologies.
  • Law degree from an ABA-accredited law school.
  • Prior experience using Sirion Labs, Smart, or other contracting management platforms.
  • Advanced skillset in Microsoft Office tools (i.e., Outlook, Word, Excel, PowerPoint, Teams, SharePoint, Forms, OneNote).

The hiring range for this position is $45 to $51 per hour. The base pay actually offered will take into account internal equity, and may also vary depending on the candidate's geographic region, job-related knowledge, skills, and experience amongst other factors.
