*Candidates must have experience with mutual funds, closed-end funds or ETFs to be considered. The candidate must also be working for / leaving a law firm.*
Position: Asset Management & Investment Funds Mid-level Associate
Practice Area: Asset Management & Investment Funds
Locations: Boston, New York City, Washington DC. As needed, the firm is prepared to cover relocation expenses for qualified candidates interested in joining our team in any of these three cities. They work 3 days in the office and 2 days from home (Hybrid)
Benefits: Top-tier, extensive
Compensation: Cravath scale for salary and bonus. Base salary for a 4th-year associate is $310,000 per year with a $75,000 bonus. For 6th-year associates, the base salary is $390,000 annually, with a $105,000 bonus.
Hours:Associates have a minimum billable hour expectation of 1850, and bonus eligibility is 1950. Pro bono is not required, but up to 50 pro bono hours can count towards bonus eligibility.

Job Description:
  • The law firm is currently in search of a skilled midlevel associate specializing in Asset Management & Investment Funds to complement their dynamic team. This opportunity is open in their Boston, New York City, or Washington D.C. offices, with a preference for candidates inclined towards the Boston location.
  • 4-6 years experience in a law firm in the investment management group
  • Focus of experience is working on a day-to-day basis with 1940 Act registered funds (open-end funds, closed-end funds, and ETFs)
  • Significant experience with the following:
    • running annual update reviews for registered funds
    • reviewing shareholder reports
    • drafting and reviewing fund mergers documents (N-14s)
    • drafting and reviewing proxy statements for funds
    • drafting and reviewing disclosure and new disclosure
    • preparing and drafting board materials, including reviewing 15c materials
    • launching new funds
    • preparing and drafting SEC comment/response letters
    • overseeing junior associates or similar
    • research and drafting of memos on 1940 Act topics
    • preparation and drafting of no-action letters, exemptive order and similar
  • Commitment to long-term future in a law firm
