Our client is seeking a talented and experienced Corporate Finance Associate to join their team in Dallas, Texas. They are looking for a driven individual with substantial experience in representing administrative agents, lenders, and borrowers in complex financing transactions.

Responsibilities:

• Represent administrative agents, lenders, and borrowers in club and broadly syndicated credit facilities, acquisition financings, and private credit facilities.
• Negotiate and draft credit agreements, debt commitment letters, term sheets, security agreements, and various closing deliverables including secretary’s certificates, resolutions, legal opinions, schedules, and exhibits.
• Manage all aspects of deal management, ensuring timely and efficient progression from initiation to closing.
• Interact with clients to provide legal counsel and support, ensuring a high level of client satisfaction and strong, ongoing relationships.
• Support private equity sponsors and portfolio companies with financing transactions.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the Texas State Bar.
• Experience in corporate finance law, with a strong focus on credit facilities, acquisition financings, and private credit.
• Proven track record in negotiating and drafting a wide range of legal documents related to financing transactions.
• Diligent, proactive, supportive, and able to work effectively in a team-oriented environment.
