Our client’s Corporate Practice Group is seeking a seasoned Corporate Partner to join their team in Houston, Texas. Their attorneys serve as trusted advisors to growth companies, corporate boards and special committees, institutional investors, private equity and venture capital funds, entrepreneurs, and senior executives across a wide spectrum of industries.

Responsibilities:

• Serve as a lead attorney on complex corporate transactions including mergers, acquisitions, and dispositions.
• Advise clients on corporate governance and special committee representation.
• Manage capital markets transactions, including public and private offerings.
• Oversee cross-border transactions and ensure compliance with international regulations.
• Provide counsel on emerging growth, technology, life sciences, and digital assets transactions.
• Handle executive compensation and employment matters.
• Guide clients through leveraged finance and intellectual property transactions.
• Advise on private equity and venture capital fund formation and governance.
• Manage restructurings, workouts, and distressed investments.

Qualifications:

• J.D. from an accredited law school and active membership in the Texas State Bar.
• Corporate law experience, preferably in a large law firm or corporate legal department.
• Proven track record in handling sophisticated corporate transactions.
• Strong client management and business development skills.
• Experience in industries such as hospitality, aerospace and defence, real estate, entertainment, consumer products, healthcare, banking, technology, new media, blockchain, and digital assets is highly desirable.
