Our Client is looking for an AGC to join their legal team and provide counsel to internal stakeholders on legal risk matters, specifically commercial, technology, and transactional matters.

Primary Duties:

• Draft, review, and negotiate a variety of commercial contracts, especially technology agreements like SaaS, software licenses, and professional services.
• Identify risks in transactions, technology, data, security, and operations and suggest solutions to mitigate them.
• Oversee policies and procedures for the commercial transactions team, ensuring proper controls are in place.
• Conduct legal research and provide analysis on various commercial legal issues.
• Work with departments like strategic sourcing, IT, risk management, and security to handle legal matters.
• Develop forms, templates, and contract processes to ensure best practices and accuracy.
• Apply and share best practices with other attorneys to improve current procedures.
• Perform additional duties as needed.

Qualifications:

• 4-10 years of experience in commercial transactions at a law firm or corporate in-house role.
• Experience with IT transactions.
• Skilled in structuring and negotiating complex technology agreements, including SaaS, professional services, and software licenses.
• Ability to produce high-quality, accurate, and detailed work promptly.
• Strong analytical, problem-solving, interpersonal, communication, and writing skills.
• Ability to handle complex matters independently.
• Quickly identify issues and provide sound legal recommendations while adapting to changing business priorities.
• Knowledge of securities and commodity laws and experience with regulatory agencies or financial institutions.
• Basic understanding of clearance, settlement, and risk management functions in a clearing organization .
