A Credit Investment Fund is seeking a Debt Finance Attorney to join their lean legal team. This position involves working with senior leadership across the business, focused primarily on support Debt Transactions from inception to conclusion. Given the nature of the small team, you’d also get exposure to a broad range of registered investment matters.

Responsibilities:

• Represent lenders in leveraged financings, debt and credit transactions, asset-based lending transactions, etc.
• Assist with preparing, reviewing, and negotiating commercial documentation – credit agreements, intercreditor agreements, term sheets, commitment papers, etc.
• Remain updated on market trends and advise the business accordingly
• Negotiate and execute necessary documents throughout the entire investment life cycle; post-closing deliverables, amendments, etc.
• Ad-hoc legal responsibilities as they arise; 1940 Act compliance, private funds work, investment adviser matters broadly, etc.

Requirements:

• JD from an accredited Law School
• Admittance to at least 1 State Bar
• 4 years of experience representing borrowers and/or lenders in credit and debt finance transactions within the asset management space; working with asset managers, investment advisors, etc.
• Excellent organizational and time-management skills; ability to meet tight deadlines
• Ability to work collaboratively and flexibility with internal and external stakeholders across various matters
