Job Title: In-HouseBusiness Attorney (Corporate and Litigation)
Job Overview: Woodland Hills law firm is seeking an experienced Business Attorney to provide comprehensive in-house legal services in the areas of corporate transactional, business litigation, and employment law ensuring compliance with laws and regulations, minimizing legal risks, and supporting business operations and growth. This role involves drafting, reviewing, and negotiating contracts, advising on corporate governance, handling mergers and acquisitions, and managing litigation and employment matters. No billable hours. 
Key Responsibilities:
  1. Legal Advisory:
    • Advise executives and senior management on legal matters, strategies, and potential risks.
    • Provide counsel on business transactions, including mergers, acquisitions, and joint ventures.
    • Negotiating, writing, reviewing, enforcing, summarizing, researching, and executing a wide variety of business law matters.
    • Keep abreast of legislative changes that may affect the company and its affiliates.
    • Monitor and ensure compliance with relevant laws and regulations, including securities laws, antitrust laws, and employment laws.
    • Conduct internal audits and investigations as necessary.
    • Review marketing materials for compliance.
    • Identify potential legal risks and develop strategies to mitigate them.
    • Provide training to employees on legal and compliance matters.
    • Maintain accurate and organized records of all legal documents and correspondence.
    • Prepare and present reports to senior management and the board of directors on legal issues and compliance status.
  2. Contract Management and Corporate Governance:
    • Draft, review, and negotiate a wide range of contracts, including partnership agreements, commercial leases, licensing agreements, and employment contracts.
    • Ensure contracts are compliant with applicable laws and reflect the company’s interests.
    • Maintain a contract database and monitor contract renewals.
    • Assist in the development and maintenance of corporate governance policies and procedures.
    • Ensure the company’s operations and activities comply with corporate laws and regulations and annual compliance filings.
  3. Litigation Management:
    • Manage and oversee any litigation or dispute resolution matters involving the company. Must feel comfortable running as first chair on litigation matters from drafting initial complaints, arguing motions, preparing discovery, settlement agreements, court proceedings including hearings and trials. 
    • Excellent working knowledge of California and federal statutes, preferably including local labor and employment laws and regulations.
  4. Intellectual Property:
    • Protect and manage the company’s intellectual property portfolio, including trademarks, patents, and copyrights.
    • Advise on intellectual property issues related to product development and marketing.
Qualifications:
  • Juris Doctor (JD) degree from an accredited law school.
  • California State Bar License.
  • Minimum of 3-5 years of experience as an in-house business attorney, preferably in a corporate, litigation and employment or law firm setting.
  • In-depth knowledge of corporate law, contract law, and regulatory compliance.
  • Experience in mergers and acquisitions, corporate governance, and intellectual property.
  • Strong negotiation, communication, and analytical skills.
  • Ability to manage multiple projects and meet deadlines.

  • Ethical Judgment: High standard of ethics and integrity in handling sensitive and confidential information.
This role will be based in Woodland Hills, CA. It is a full-time, in-office position. Expected hours are 8 AM-5 PM. A remote or hybrid position is not available.
