LocumTenens.com is Hiring an Associate General Counsel Near Alpharetta, GA

The purpose of the position, generally, is to provide support to the Company through legal assistance. More specifically, this position will assist the General Counsel (GC) with providing legal support to the Company through contract review, drafting, and advising business partners regarding the negotiation of contracts, regulatory guidance, and related general business matters. This position will also work together with the Corporate Paralegal to complete various projects.

ESSENTIAL FUNCTIONS AND BASIC DUTIES:

Contract Negotiation & Business Advisement- 70%

  • Review, draft, and negotiate technology contracts
  • Advise on technology transactions
  • Assist GC with respect to various legal matters
  • Assist GC with drafting and revising various transaction documentation, due diligence reviews, and closing activities
  • Assist GC in advising parent company and operating subsidiaries on various legal matters
  • Assist with short and long-term special projects
  • Work collaboratively with attorneys and corporate paralegals of affiliated entities
  • Work with legal team to create, organize and maintain limited liability companies and professional corporations
  • Communicate clearly with non-legal stakeholders

Compliance, Documentation, & Research - 30%

  • Prioritizes project requests and response times
  • Work with business teams to collect information and prepare responses to subpoenas
  • Provide support for responses to regulatory inquiries
  • Assist in coordinating legal holds and e-discovery
  • Conduct research of legal concepts and state and federal statutes and regulations

SECONDARY FUNCTIONS (IF APPLICABLE)

  • May work on special projects or other duties as assigned

SUPERVISORY/BUDGETARY/EXTERNAL COMMUNICATION RESPONSIBILITY

  • Requires awareness of budget for some items within the area of responsibility and may help the manager ensure expenditures remain in line with budget for specific items

QUALIFICATIONS – EDUCATION, WORK EXPERIENCE, CERTIFICATIONS

  • Juris Doctorate (JD) from a reputable accredited U.S. law school
  • 3-5 years of legal experience in technology-related contracts, commercial contracts, technology transactions, data privacy, intellectual property, and consumer protection at a reputable corporate law firm or a sophisticated boutique law firm or in-house with a technology company

KNOWLEDGE, SKILLS, AND ABILITIES

  • Working knowledge of Microsoft Word, Excel, PowerPoint, Outlook, and Teams
  • Working knowledge of Salesforce or related CRM systems
