As Corporate Counsel, you will support the organization and related processes across all aspects for the business. You will be preparing, reviewing, and negotiating company contracts, requests for proposals and other legal documents. You may negotiate and draft contractual agreements, such as real estate leases, and advising on employment matters. You will consult management, advise on policies on industry-specific issues, and assist with corporate governance. Duties and responsibilities include legal research and support of business operations.

To succeed in this role, you will need to have excellent critical thinking ability; maintain a strong work ethic and a high degree of accountability; and be detailed and highly organized. You should be able to work optimally, independently, as well as collaboratively and flexibly in a collegial, fast-paced, and constantly evolving environment. You should possess excellent communication skills (verbal and written) and be able to build trusted relationships across teams. You should be self-motivated, self-reliant, and curious.

ESSENTIAL FUNCTIONS:

  • Preparing, reviewing and negotiating company contracts, requests for proposals, and other legal documents.
  • Consulting with and advising management, sales, service, risk management, procurement, accountants, and marketing staff.
  • Negotiating and drafting, reviewing, and updating commercial contracts such as SaaS terms of service, vendor service agreements, data processing addenda, master service agreements, non-disclosure agreements, and other agreements.
  • Work with vendors to ensure agreements, including business requirements and Information Security requirements, are met, and followed and vendor due diligence information is completed.
  • Review, update, and maintain proficiency with applicable laws, regulations, and other emerging laws.
  • Ensure legal files are updated regularly. Upload legal files and contract data to Contract Management System.
  • Compile data and prepare reports for management.
  • Accurately maintain and comply with documentation, communication, time entry, and administrative procedures in a timely manner.
  • Act in accordance with Marco policies and procedures as set forth in the employee handbook.
  • Attend required company and departmental meetings.
  • Perform other related duties as assigned.
EDUCATION AND EXPERIENCE:
  • Candidates must have a juris doctor (JD) and excellent analytical, communication, diplomatic, research and writing skills.
LICENSES AND CERTIFICATIONS:
  • Law degree (JD) and active bar licensure.
  • Successful completion of an employment background check including criminal and financial history.
  • Valid Driver’s License, proof of personal insurance and an acceptable driving record.
REQUIRED SKILLS:
  • Investigative mind and strong research skills.
  • Working knowledge legal database software. 
  • Excellent communication and time management skills. Ability to multi-task a must.
  • Experience in preparing, revising, and finalizing legal documents.
  • Experience in researching, reviewing, and summarizing federal and state laws and regulations. 
  • Proficiency with business collaboration tools such as Office applications.
  • Ability to prioritize responsibilities and to operate with changing priorities; Strong ability to exercise independent judgment.
  • Self-starter with the ability to perform with little or no direct supervision.
  • Excellent communication skills in working with technical and non-technical people and the ability to develop and maintain collaborative relations among all levels of an organization.
  • Treats people with respect; Works with integrity and ethically; Upholds organizational values.
  • Follows policies and procedures; Completes administrative tasks correctly and on time; Supports organization's goals and values.
  • Demonstrates accuracy and thoroughness; Looks for ways to improve and promote quality; Applies feedback to improve performance; Monitors own work to ensure quality.
