Position Overview: 

We are recruiting a seasoned Corporate Paralegal with at least 10 years of experience to join our dynamic legal team. The ideal candidate will bring a wealth of expertise in corporate law and a proven track record of delivering high-quality support in a fast-paced environment. Your comprehensive legal background, exemplary research capabilities, and exceptional communication skills will be pivotal in handling a diverse range of legal matters. 

In this role, you will play a crucial part in contributing to the success of our legal department, leveraging your extensive experience to provide invaluable support. Your keen attention to detail will be instrumental in navigating complex legal challenges, ensuring that our team operates seamlessly and efficiently. 

Key Responsibilities: 

Business Formation and Development : Assist in advising clients on business formation options, drafting formation documents, filing formation documents, and providing guidance on corporate governance matters for start-ups and small businesses.

Corporate Transactions: Assist attorneys in preparing for and conducting closings, mergers, acquisitions, and other corporate transactions. 

Legal Research and Analysis : Conduct thorough legal research on corporate law matters, technology, intellectual property, and other corporate law matters to support attorneys with their clients. 

Contract Review and Drafting : Review, draft, and negotiate a variety of contracts and agreements, such as licensing agreements, nondisclosure agreements, and vendor contracts, under attorney supervision. 

Funding and Financing Support : Assist in preparing due diligence materials, drafting financing agreements, and coordinating communications with investors and funding sources to support clients in securing funding for their ventures. 

Regulatory Compliance Assistance : Assist in ensuring clients' compliance with applicable laws and regulations in various industries, including SEC filings and corporate disclosures. 

Document Management and Organization : Maintain and organize legal documents related to corporate transactions, technology development, intellectual property rights, and regulatory compliance in electronic and physical filing systems. 

Client Communication : Act as a liaison between attorneys and clients, ensuring effective communication and providing updates on case progress. 

Billing and Timekeeping : Assist in tracking billable hours and expenses, preparing invoices, and maintaining accurate records. 

Technology Integration : Utilize legal software and technology tools to enhance efficiency in legal processes, including document management systems, case management software, and legal research databases. . 

Qualifications: 

• A Bachelor's degree and/or completion of a recognized paralegal program. 
• Previous experience as a paralegal in a law firm setting, preferably in a fast-paced environment. 
• Strong research and analytical skills, with the ability to synthesize complex legal information. 
• Excellent written and verbal communication skills. 
• Proficiency in legal software and technology, such as case management and document management systems. 
• Exceptional organizational skills and attention to detail. 
• Ability to work collaboratively in a team and handle multiple tasks and deadlines simultaneously. 
• Knowledge of legal procedures, regulations, and court rules.
