Key Responsibilities: 

  • Advise board of directors on corporate governance matters.
  • Conduct thorough factual and legal research and analysis.
  • Draft agreements and documents with efficiency and clarity.
  • Manage projects from start to finish.
  • Communicate professionally and effectively with clients and supervising attorneys.
  • Ensure tasks are completed efficiently and to the highest standard.

What You Bring to the Table:

  • Expertise in the Federal Reserve Board’s Bank Holding Company Rules, FDIC’s Issuance of Accounts Regulations, OCC powers, and de novo chartering regulations.
  • Familiarity with CFPB guidance and rules applicable to banks.
  • Proficiency in drafting corporate governance documents and negotiating merger agreements.
  • Sharp analytical skills for banking rules and policies.
  • Ability to draft securities filings with precision.
  • Knowledge of corporate accounting reporting and standards relevant to banking organizations.
  • Thorough understanding of State and Federal Banking Laws, especially preemption issues.
  • Exceptional verbal and written communication skills.
  • Capacity to thrive under pressure and meet tight deadlines.
  • Strong organizational and project management abilities.
  • Collaborative spirit and professional demeanor when working with clients, partners, associates, and support staff.
  • Clear and effective drafting skills.

Qualifications: 

  • Juris Doctor degree.
  • Licensed to practice law and in good standing in the jurisdiction of Washington, D.C. 
  • Excellent academic credentials.

Compensation and Benefits:

  • Competitive base salary range $310,000 - $345,000, based on your class year, experience, skills, qualifications, and anticipated annual billable hours (1850 vs. 1950 hours annually).
