PERI is currently looking for a Director of Contract Risk and Compliance to join our team! The primary role of PERI’s Director of Contract Risk & Compliance is to ensure the consistent management of all proposals and contracts, overseeing the contract management process. This includes the development of specific standards for the bidding process, contract negotiations, and document management. Additionally, the Director of Contract Risk & Compliance collaborates closely with internal departments, external customers, and vendors. Moreover, they serve as PERI’s Compliance Officer, ensuring adherence to regulatory requirements and internal policies.
What you’ll do in a typical day:
  • Oversee Contract Development and Management: Direct all organizational contract development and management activities, ensuring adherence to integrity and compliance principles.
  • Establish Contract Standards and Draft Provisions: Develop and implement contract standards, defining payment terms, language, and provisions for consistency and clarity. Draft contractual terms based on strategy discussions and organizational priorities.
  • Ensure Proper Contract Fulfillment: Guarantee contracts adhere to company policies, legal regulations, and customer requirements.
  • Coordinate with Internal Departments: Collaborate with relevant departments to enhance negotiation strategies and align with organizational objectives. Provide support to ensure understanding of contractual implications.
  • Review and Recommend Contract Acceptance: Evaluate contracts, propose revisions or exceptions, ensuring consistency with terms, pricing, and specifications. Assess impact on pricing, schedules, and company risk.
  • Negotiate Various Agreements: Handle negotiations for NDAs, TAs, and subcontract agreements with customers.
  • Address Contract Compliance Issues: Identify and escalate compliance issues to the CEO/VP of Finance. Advocate for policy revisions to enhance efficiency.
  • Ensure Lifecycle Performance: Oversee contract lifecycle, including interpretation of requirements, risk management, change management, and conflict resolution. Conduct strategy meetings and maintain accurate contract documentation.
  • Review Third-Party Contracts: Assess third-party/vendor agreements and non-disclosures, issuing insurance certifications as needed.
  • Lead Contract Negotiations: Act as primary organizational contact during negotiations, representing company interests and ensuring alignment with goals and legal requirements.
  • Leadership: Set clear expectations for performance and behavior. Provide empowerment, recognition, encouragement, coaching, and mentoring to the team. Foster continuous learning and development and create an inclusive work environment promoting diversity and collaboration. Demonstrate honesty, integrity, and ethical behavior in all actions.
What you’ll need to be successful:
  • Contract Administrative Expertise: Comprehensive knowledge and extensive experience in contract administration, including drafting, reviewing, and negotiating contracts, and the ability to understand and communicate how terms and conditions affect pricing, schedules, and company risk.
  • High-level of Confidentiality: Ability to maintain a high level of confidentiality in handling sensitive contract information, ensuring compliance with privacy and confidentiality policies and safeguarding proprietary information and trade secrets during contract negotiations, execution, and administration processes.
  • High Degree of Independent Judgement and Problem-solving Skills: Ability to resolve contractual issues and disputes efficiently and effectively while utilize creative problem-solving skills to develop innovative solutions that address complex contractual challenges. Ability to consider the broader implications of contract decisions and make sound decisions.
  • Specific Knowledge: Working knowledge of various contract types (FFP, CPFF, CPAF, T&M, FP LOE, etc.), contract negotiation, corporate insurances, property management and the ability to understand and interpret regulations and laws.
  • Communication Skills: Exceptional oral and written communication skills with the ability to effectively relay information in a manner that individuals at all levels of an organization can receive and understand the message.
  • Business Acumen: Strong working knowledge of asset management, working capital efficiency, and credit insurance and factoring.
  • People Skills: Self-awareness, self-management, social awareness, active listening, conflict management, negotiation and persuasion, empathy, and relationship management.
  • Leadership Skills: Ability to create and maintain a feedback-rich environment that facilitates open communication and constructive feedback and fosters trust and strong relationships within the team and across the organization. Ability to effectively manage, mentor, coach, recognize, and engage a diverse team, while effectively delegating and leveraging individual strengths and talents.
  • Bachelor’s degree required. Master’s degree preferred.
